Description of Services – Geologist Engagement
This Purchase Order is issued by Al-Rashid Geological & Mining Services Co. Ltd. to engage the services of a qualified Geologist, Dr. Khalid Al-Omari, for the purpose of conducting comprehensive geological survey, site assessment, and mineral resource evaluation for the proposed industrial development project located in the Al-Shati coastal zone of Jeddah, Saudi Arabia. The Geologist shall perform all fieldwork, laboratory coordination, and reporting in strict accordance with the Saudi Geological Survey (SGS) standards and the regulations of the Saudi Arabian Mining Law (Ministry of Industry and Mineral Resources). All deliverables under this Purchase Order must be completed within the Jeddah metropolitan area unless otherwise approved in writing by the Project Director.

Terms and Conditions of this Purchase Order
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Geologist, Dr. Khalid Al-Omari, within five (5) business days of the issue date. Failure to accept within this period shall render this Purchase Order null and void.
- Scope of Work: The Geologist shall perform all geological, geotechnical, and hydrogeological services strictly within the boundaries of the project site in Jeddah, Saudi Arabia, as delineated in Annex A attached to this Purchase Order. Any work outside this scope requires a formal variation order signed by both parties.
- Payment Terms: Payment shall be made in three installments: 30% upon commencement of fieldwork, 40% upon delivery of the draft Geological Report, and 30% upon final acceptance of the completed report and presentation. All payments shall be made via bank transfer to the account specified by the Geologist. Payment is due within fourteen (14) calendar days of invoice submission.
- Compliance: The Geologist warrants that all work shall comply with the Saudi Geological Survey standards, the Saudi Building Code, and all applicable regulations of the Ministry of Environment, Water and Agriculture in Saudi Arabia. The Geologist shall hold a valid professional license throughout the duration of this Purchase Order.
- Insurance: The Geologist shall maintain professional indemnity insurance of no less than SAR 2,000,000 and comprehensive liability insurance covering all fieldwork activities in Jeddah, Saudi Arabia, for the full duration of the engagement.
- Confidentiality: All geological data, core samples, maps, and reports generated under this Purchase Order are the exclusive property of Al-Rashid Geological & Mining Services Co. Ltd. The Geologist shall not disclose, publish, or share any project information with third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Geologist shall be compensated for all services rendered up to the termination date, less any damages caused by non-performance.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through arbitration in Jeddah, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government directives, or public health emergencies affecting Jeddah, Saudi Arabia.
