- This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and the Saudi Commercial Transactions Law. All disputes shall be resolved through the competent courts in Riyadh, Saudi Arabia.
- The Geologist and all field personnel engaged under this Purchase Order must hold valid Saudi Arabian professional licenses issued by the Saudi Commission for Health Specialties (CABS) or the relevant geological regulatory authority, and must possess a valid Iqama (residence permit) for work in Saudi Arabia Riyadh.
- All geological fieldwork shall be conducted in strict compliance with the Saudi Geological Survey (SGS) regulations, the Ministry of Energy regulations, and local municipal bylaws applicable to the Riyadh metropolitan area.
- Delivery of all equipment (XRF spectrometer, field kits) shall be made to the project site at King Fahd Road, Al Olaya District, Riyadh, Saudi Arabia, no later than 30 July 2025. The vendor shall bear all shipping, customs clearance, and insurance costs within Saudi Arabia.
- Payment terms: 30% advance payment upon signing of this Purchase Order, 40% upon completion of fieldwork and delivery of all core samples to the laboratory, and 30% upon acceptance of the final geological report. All payments shall be made via bank transfer to the IBAN specified above.
- The Geologist shall submit a weekly progress report to the project manager at Al-Riyadh Geological Survey & Consulting Co. Ltd. every Friday, detailing field activities, samples collected, and any geological anomalies observed in the Saudi Arabia Riyadh survey area.
- All data, core samples, and reports generated under this Purchase Order shall remain the exclusive property of Al-Riyadh Geological Survey & Consulting Co. Ltd. The vendor shall not disclose, publish, or share any geological data pertaining to the Saudi Arabia Riyadh project without prior written consent.
- The vendor shall provide a minimum of 12-month warranty on all supplied equipment. Any malfunction of the XRF spectrometer or field instruments during the warranty period shall be repaired or replaced at no additional cost.
- Force majeure events, including but not limited to extreme weather conditions in Saudi Arabia Riyadh, government-mandated work stoppages, or natural geological hazards, shall extend the delivery timeline proportionally without penalty to either party.
- This Purchase Order is valid for acceptance within 10 business days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Geologist professional services and associated equipment for the geological survey project in Saudi Arabia Riyadh.
