This Purchase Order is issued by Transvaal Mining & Resources (Pty) Ltd to engage the services of a qualified Geologist for the purpose of conducting comprehensive geological survey, mineral resource assessment, and environmental baseline studies at the company's platinum group metals (PGM) exploration site located in the Rustenburg–Johannesburg corridor, South Africa. The Geologist shall perform all duties in accordance with the South African Minerals and Petroleum Resources Development Act (MPRDA) 28 of 2002 and the relevant codes of the South African Institute of Mining and Metallurgy (SAIMM).

- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and interpreted in accordance with the laws of the Republic of South Africa, with the project execution site located in Johannesburg, Gauteng, South Africa.
- Payment Terms: Payment shall be made within 30 (thirty) calendar days of receipt of a valid tax invoice from the Geologist. A 30% advance payment shall be made upon acceptance of this Purchase Order. The remaining 70% shall be payable in two equal instalments: 50% upon submission of the interim geological report and 50% upon acceptance of the final integrated report.
- Delivery / Execution Location: All fieldwork, site inspections, and on-site supervision shall be conducted at the designated project site in the Johannesburg metropolitan area, South Africa. All reports and deliverables shall be submitted to the Issuing Company's head office at 142 Rivonia Road, Sandton, Johannesburg, South Africa.
- Compliance: The Geologist warrants that all services shall comply with the MPRDA 28 of 2002, the National Environmental Management Act (NEMA) 107 of 1998, the Occupational Health and Safety Act 85 of 1993, and all applicable regulations of the Department of Mineral Resources and Energy (DMRE), South Africa.
- Insurance: The Geologist shall maintain, at their own cost, a valid Professional Indemnity Insurance policy with a minimum cover of ZAR 5,000,000 and a Public Liability Insurance policy with a minimum cover of ZAR 2,000,000 for the duration of the contract.
- Confidentiality: All geological data, mineral resource information, and proprietary information obtained in the course of this engagement shall be treated as strictly confidential. The Geologist shall not disclose any such information to third parties without prior written consent from Transvaal Mining & Resources (Pty) Ltd.
- Termination: Either party may terminate this Purchase Order with 14 (fourteen) days' written notice. In the event of termination, the Geologist shall be compensated for all services rendered up to the date of termination, less any advance payments already received.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be referred to mediation in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA). If mediation fails, the dispute shall be referred to arbitration in Johannesburg.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government regulations, or civil unrest in South Africa.
This Purchase Order constitutes a binding offer for the geological services described herein. By signing below, the Geologist and the Issuing Company confirm their mutual agreement to the terms, scope, and financial obligations set out in this document. This Purchase Order is valid for a period of 90 (ninety) days from the date of issue, after which it shall lapse unless renewed in writing.
