This Purchase Order is issued by the Valencia Geological Survey Consortium to formally request and authorize the procurement of specialized Geologist professional services to be carried out within the Spain Valencia metropolitan area and its surrounding provinces. - Acceptance: This Purchase Order becomes binding upon written acceptance by TerraFirma Geology & Consulting S.L. within ten (10) business days of the issue date. Failure to respond within this period shall be interpreted as rejection of the Purchase Order.
- Geologist Qualifications: All Geologist personnel assigned to this contract must hold a recognized degree in Geology or Geological Engineering from a Spanish or EU-accredited university, and must be registered with the Colegio Oficial de Geólogos de España. The Lead Geologist must possess a minimum of fifteen (15) years of professional experience in the Spain Valencia region.
- Delivery & Performance: All services described in this Purchase Order shall be performed exclusively within the administrative boundaries of the Province of Valencia, Spain, unless otherwise authorized in writing by the Buyer. Fieldwork schedules must be coordinated with the local Ayuntamiento (municipal council) of the relevant Spain Valencia locality.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt, via bank transfer to the account designated by the Supplier. Invoices must reference this Purchase Order number (PO-2025-VAL-0487) and include the Supplier's NIF/VAT registration number.
- Compliance with Spanish Law: The Supplier warrants that all Geologist services rendered under this Purchase Order shall comply with Spanish Royal Decree 1092/1997 on geological activities, the Ley 42/2007 del Patrimonio Natural y de la Biodiversidad, and all applicable regulations of the Generalitat Valenciana governing environmental impact assessments in the Valencia region.
- Insurance & Liability: The Supplier shall maintain professional liability insurance with a minimum coverage of € 2,000,000 per claim, valid throughout the duration of this Purchase Order. The Supplier assumes full responsibility for any damage to property or environment caused by the Geologist team during field operations in Spain Valencia.
- Confidentiality: All geological data, subsurface reports, and site-specific information generated under this Purchase Order shall be treated as confidential property of the Valencia Geological Survey Consortium. The Supplier shall not disclose, publish, or share such data with third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all Geologist services rendered up to the effective date of termination, plus reasonable demobilization costs.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Courts of Valencia, Spain.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting the Spain Valencia region.
