1. This Purchase Order constitutes a binding agreement between the Uganda Ministry of Energy and Mineral Development and the named Geologist service provider. All services shall be rendered in accordance with the Uganda National Geological Survey Standards and the Uganda Geological and Mining Development Authority (UGMDA) regulations.

2. The Geologist shall hold a valid professional license issued by the Engineering, Architecture and Quantity Surveying Council of Uganda (EAQS) and shall maintain professional indemnity insurance with a minimum coverage of UGX 500,000,000 throughout the duration of this Purchase Order.

3. All geological data, reports, and findings produced under this Purchase Order shall be the exclusive property of the Uganda Ministry of Energy and Mineral Development. The Geologist shall not disclose, publish, or share any proprietary information with third parties without prior written consent from the Ministry.

4. The Geologist shall submit monthly progress reports to the Procurement Director by the 5th business day of each month. Failure to submit reports for two consecutive months shall constitute material breach of this Purchase Order.

5. All fieldwork conducted within Uganda Kampala and its surrounding districts shall comply with the Uganda Environmental Management Act (Cap 167) and the National Environment Management Authority (NEMA) guidelines. The Geologist shall obtain all necessary permits before commencing any field activities.

6. The Ministry reserves the right to terminate this Purchase Order with 30 days' written notice in the event of unsatisfactory performance, breach of contract, or force majeure circumstances. Upon termination, the Geologist shall be compensated for all services rendered up to the date of termination.

7. Any disputes arising from this Purchase Order shall be resolved through mediation in Uganda Kampala in accordance with the Uganda Arbitration Act, 2000. The courts of Uganda Kampala shall have exclusive jurisdiction.

8. The Geologist shall adhere to all applicable Ugandan labor laws, tax obligations, and professional ethical standards. All payments made under this Purchase Order are subject to applicable withholding tax as prescribed by the Uganda Revenue Authority.

9. This Purchase Order is valid for a period of twelve (12) months from the date of issue and may be extended by mutual written agreement of both parties. Any amendments to the scope of work must be documented in a formal addendum signed by both parties.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order. The Geologist confirms availability to commence services on the required start date and commits to delivering all geological services with the highest professional standards expected in Uganda Kampala.
