This Purchase Order is issued by Northwest Geological Consulting Ltd. to engage the services of a qualified Geologist, Dr. Eleanor M. 1. This Purchase Order constitutes a binding agreement between Northwest Geological Consulting Ltd. (hereinafter "the Purchaser") and the named Geologist (hereinafter "the Service Provider") for the geological services described herein. All work shall be performed within Manchester, United Kingdom, unless otherwise agreed in writing.
2. The Geologist warrants that all services rendered under this Purchase Order shall be performed in a professional, competent, and workmanlike manner, in full compliance with the United Kingdom's Environmental Protection Act 1990, the Town and Country Planning Act 1990, and all relevant local planning authority requirements for the City of Manchester.
3. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Geologist. Invoices must reference this Purchase Order number (PO-2025-MAN-00472) and be submitted to the Purchaser's accounts department at the Manchester address listed above.
4. The Geologist shall maintain adequate professional indemnity insurance with a minimum cover of GBP 5,000,000 for the duration of the engagement. A certificate of insurance shall be provided prior to the commencement of fieldwork in Manchester.
5. All geological data, reports, and deliverables produced under this Purchase Order shall become the exclusive property of the Purchaser upon full payment. The Geologist shall not disclose project-specific information to any third party without prior written consent.
6. The Geologist is responsible for obtaining all necessary permits, access agreements, and health and safety clearances required to conduct geological fieldwork at the designated sites in Manchester, United Kingdom.
7. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Manchester, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR).
8. This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom.
