- Payment shall be made via wire transfer to the account designated by SoCal Geological Consulting Partners, Inc.
- 30% deposit ($42,585.00) due upon execution of this Purchase Order.
- 40% progress payment ($56,780.00) due upon completion of all borehole drilling and core sampling.
- 30% final payment ($42,585.00) due upon delivery and acceptance of the final geological report signed by the Geologist.
- All payments are due net 30 days from the date of the applicable invoice. Late payments shall accrue interest at 1.5% per month.
- All amounts are in United States Dollars (USD) and are subject to applicable California state and Los Angeles municipal taxes where required by law.
- The Geologist shall hold a valid California Professional Geologist license in good standing throughout the duration of this Purchase Order. A copy of the license shall be provided prior to commencement of fieldwork.
- All geological fieldwork shall be conducted in strict compliance with the California Health and Safety Code, the Los Angeles Municipal Code (LAMC) Title 14, and all applicable federal environmental regulations including NEPA and CERCLA as they pertain to the United States.
- The Geologist shall maintain a minimum of $2,000,000 in professional liability insurance and $1,000,000 in general liability insurance, naming Pacific Basin Development Group, LLC as an additional insured.
- The scope of work described in this Purchase Order may be modified only through a written change order signed by both parties. No verbal modifications shall be binding.
- Confidentiality: All geological data, core samples, and reports generated under this Purchase Order shall be treated as proprietary information of the buyer. The Geologist shall not disclose findings to third parties without written consent.
- Dispute resolution: Any disputes arising from this Purchase Order shall be governed by the laws of the State of California and shall be resolved through binding arbitration in Los Angeles, California, United States, in accordance with the rules of the American Arbitration Association.
- Force Majeure: Neither party shall be liable for delays caused by earthquakes, landslides, or other geological events specific to the Los Angeles region, provided that the affected party notifies the other within 48 hours.
