This Purchase Order is issued by South Florida Infrastructure Development Corp. to engage the services of a licensed Professional Geologist for comprehensive geological and geotechnical assessment work to be performed within the Miami metropolitan area, United States.   1. Acceptance: This Purchase Order shall constitute a binding agreement upon written acceptance by the Geologist or the Geologist's authorized representative. The vendor shall return a signed copy of this Purchase Order within five (5) business days of receipt.
  2. Performance Period: All geological fieldwork, laboratory coordination, and reporting services described herein shall be completed no later than September 30, 2025. The Geologist shall provide a detailed project schedule within ten (10) business days of contract execution.
  3. Service Location: All on-site work shall be performed at the project location in Miami, Florida, United States, and at the vendor's office in Miami, FL. Travel within Miami-Dade County is included in the pricing. Travel outside Miami-Dade County shall be billed at cost with prior written approval.
  4. Licensing and Compliance: The Geologist shall maintain a valid Florida Professional Geologist license throughout the duration of this Purchase Order. All work shall comply with the Florida Statutes Chapter 471, U.S. federal environmental regulations, and Miami-Dade County ordinances.
  5. Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-2025-MIA-004872). Payment shall be made via wire transfer to the bank account specified above.
  6. Insurance: The Geologist shall maintain professional liability insurance of no less than $2,000,000 per occurrence and general liability insurance of no less than $1,000,000. Certificates of insurance shall be provided prior to commencement of work.
  7. Confidentiality: All geological data, subsurface information, and reports generated under this Purchase Order shall be treated as confidential property of the buyer. The Geologist shall not disclose site-specific data to third parties without written consent.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the date of termination.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.
  10. Force Majeure: Neither party shall be liable for delays caused by hurricanes, tropical storms, flooding, or other natural events common to the Miami, United States region, provided that the affected party gives prompt written notice.
