This Purchase Order is issued by Manhattan Infrastructure Development Corp. to engage the services of a licensed Geologist, Dr. Elena M. - Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Geologist, Dr. Elena M. Vasquez, P.G., within ten (10) business days of the date of issue. Failure to respond within this period shall constitute rejection of this Purchase Order.
- Performance Period: All services described in this Purchase Order shall be commenced no later than July 1, 2025, and completed no later than November 15, 2025. The Geologist shall provide a detailed project schedule within five (5) business days of contract execution.
- Licensing and Compliance: The Geologist warrants that she holds a valid and active Professional Geologist license issued by the State of New York and shall maintain all necessary permits, insurance (minimum $2,000,000 general liability and $1,000,000 professional liability), and certifications throughout the duration of this Purchase Order. All work shall comply with the regulations of the United States New York City Department of Environmental Protection and the New York State Department of Environmental Conservation.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of all field drilling and core sampling activities, and 30% upon delivery and acceptance of the Final Geological Report. All invoices shall be submitted to the Purchasing Entity's accounts payable department in United States New York City and shall be paid within thirty (30) days of receipt.
- Intellectual Property: All reports, data, core samples, photographs, and deliverables produced under this Purchase Order shall become the sole property of Manhattan Infrastructure Development Corp. upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent.
- Indemnification: The Geologist shall indemnify and hold harmless the Purchasing Entity from any and all claims, damages, or liabilities arising from the Geologist's negligence, errors, or omissions in the performance of services under this Purchase Order within the jurisdiction of the United States New York City.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Geologist shall be compensated for all work completed and materials procured up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the municipal codes of the United States New York City. Any disputes shall be resolved through binding arbitration in New York County, New York.
- Force Majeure: Neither party shall be liable for delays caused by acts of God, severe weather events, government-mandated shutdowns, or other events beyond reasonable control, provided that the affected party notifies the other within forty-eight (48) hours.
