This Purchase Order is issued by Bay Area Infrastructure Development Corp. (hereinafter referred to as the "Buyer") to engage the professional services of Dr. Richard A. The Geologist shall perform all duties in accordance with the California Business and Professions Code, Chapter 6, Division 1, and all applicable federal and local regulations governing geological practice in the United States San Francisco metropolitan area.

- Scope and Standards: All geological services rendered by the Geologist shall conform to the American Society for Testing and Materials (ASTM) standards, the California Geological Survey guidelines, and the professional standards of the California Board for Professional Geologists. The Geologist warrants that all findings, interpretations, and recommendations shall be accurate, complete, and based on sound geological science.
- Location of Work: All fieldwork, laboratory coordination, and on-site supervision shall be conducted within the city and county of San Francisco, California, United States. The Geologist acknowledges familiarity with the unique geological conditions of the San Francisco Bay Area, including the presence of the San Andreas Fault, the Hayward Fault, and the complex alluvial and marine sedimentary deposits characteristic of the region.
- Payment Schedule: Payment shall be made in accordance with the following milestones: 30% upon execution of this Purchase Order, 40% upon delivery and acceptance of the Geotechnical Engineering Report (Line Item 4), and 30% upon final completion of all services and submission of the CEQA appendix. Invoices shall be submitted to the Buyer's accounts payable department in San Francisco, United States.
- Insurance and Liability: The Geologist shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, as well as workers' compensation insurance in compliance with California Labor Code. The Geologist shall indemnify and hold harmless the Buyer from any claims arising from negligent geological assessment or failure to identify subsurface hazards.
- Intellectual Property: All reports, data, core samples, and geological interpretations produced under this Purchase Order shall become the sole property of Bay Area Infrastructure Development Corp. upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent from the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Geologist shall be compensated for all services rendered and materials procured up to the date of termination, less any applicable savings.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in San Francisco, California, United States, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
- Compliance: The Geologist certifies compliance with all applicable federal, state, and local laws, including but not limited to the California Environmental Quality Act (CEQA), the Clean Water Act, the Resource Conservation and Recovery Act (RCRA), and all San Francisco municipal ordinances governing geological and geotechnical work.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order. The Geologist confirms availability to commence work no later than June 20, 2025, and commits to delivering all milestones within the timelines specified above.
