- This Purchase Order constitutes a binding agreement between Tashkent Geological Resources Development LLC (hereinafter "the Buyer") and Dr. Aziz Karimov, licensed Geologist (hereinafter "the Vendor"), for the provision of geological survey, analysis, and consulting services to be performed in and around Uzbekistan Tashkent.
- The Geologist shall hold a valid professional license issued by the Chamber of Geologists of Uzbekistan throughout the entire duration of this Purchase Order. Any lapse in licensure shall constitute grounds for immediate termination of this agreement.
- All fieldwork, laboratory analysis, and reporting activities under this Purchase Order shall be conducted in compliance with the Geological Survey Law of the Republic of Uzbekistan, the Environmental Protection Code, and all applicable municipal regulations of the city of Tashkent.
- The Geologist shall submit a detailed work plan within five (5) business days of accepting this Purchase Order. The work plan must specify daily schedules, sampling locations within the Uzbekistan Tashkent region, and anticipated milestones.
- Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 40% upon completion of fieldwork and delivery of the preliminary geological report, and 30% upon final acceptance of all deliverables by the Buyer's project director in Tashkent, Uzbekistan.
- All geological data, core samples, and reports produced under this Purchase Order shall become the exclusive property of the Buyer. The Geologist shall not disclose, publish, or share any proprietary geological information pertaining to the Uzbekistan Tashkent survey area without written consent.
- The Geologist is responsible for obtaining all necessary field access permits from the Tashkent City Administration and the Uzbekistan Ministry of Natural Resources Protection prior to commencing any on-site work in the designated survey zones.
- Any changes to the scope of work, additional survey areas, or extended timelines must be documented in a formal amendment to this Purchase Order, signed by both parties, before any additional work is performed.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the Tashkent International Arbitration Centre. The governing law shall be that of the Republic of Uzbekistan.
- This Purchase Order shall remain valid for ninety (90) calendar days from the date of issue. If not accepted and signed by the Geologist within this period, it shall automatically expire and be void.
