This Purchase Order is issued by Corporación Minera del Orinoco, C.A. to formally engage the services of a qualified Geologist for the execution of geological survey, subsurface characterization, and environmental impact assessment activities within the operational zones of the company located in and around Venezuela Caracas and the surrounding metropolitan area. The Geologist shall perform all duties in strict compliance with Venezuelan mining regulations, the National Geological Survey standards, and all applicable environmental legislation of the Republic of Venezuela.

The scope of work assigned to the Geologist under this Purchase Order includes, but is not limited to: (a) conducting field geological mapping and stratigraphic analysis of the target mineral exploration zones in the Caracas metropolitan region; (b) performing core sampling, rock mechanics testing, and geochemical assays; (c) preparing a comprehensive geological report detailing subsurface conditions, mineral potential, and structural geology; (d) advising the project engineering team on foundation stability, seismic risk assessment, and groundwater hydrology relevant to construction activities in Venezuela Caracas; and (e) providing expert testimony and technical consultation as required by regulatory authorities in Caracas.

TERMS AND CONDITIONS
  1. Scope and Compliance: The Geologist shall execute all services described in this Purchase Order in full compliance with the Mining Law of Venezuela, the Environmental Organic Law, and all municipal regulations applicable to the Caracas metropolitan area. All fieldwork in Venezuela Caracas shall be conducted with proper permits obtained from the relevant local and national authorities.
  2. Timeline: The total project duration shall not exceed twelve (12) calendar weeks from the date of acceptance of this Purchase Order. The Geologist shall submit a detailed work plan within five (5) business days of contract commencement.
  3. Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon submission of the interim geological report, and 30% upon final delivery and acceptance of all deliverables. Payments shall be processed in US Dollars via bank transfer to the account designated by GeoConsulting Venezuela, C.A.
  4. Deliverables: The Geologist shall deliver all reports, maps, data sets, and technical documentation in both printed and digital (PDF, GIS shapefiles, and Excel) formats. All deliverables shall be submitted to the project office in Chacao, Caracas, Venezuela.
  5. Confidentiality: All geological data, survey results, and proprietary information obtained during the execution of this Purchase Order shall be treated as strictly confidential. The Geologist shall not disclose any findings to third parties without prior written consent from Corporación Minera del Orinoco, C.A.
  6. Insurance and Liability: The Geologist and GeoConsulting Venezuela, C.A. shall maintain professional liability insurance with a minimum coverage of USD 500,000, valid throughout the project duration in Venezuela Caracas and all fieldwork locations.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Geologist shall be compensated for all work completed and documented up to the date of termination.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Venezuela. Any disputes shall be resolved through arbitration in Caracas, Venezuela, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
  9. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government actions, or other events beyond reasonable control, as defined under Venezuelan commercial law.
