1. Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Algerian Republic. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Algiers, Algeria.
2. Scope of Work: The Graphic Designer shall deliver all items listed in the line items above in a professional, industry-standard quality. All deliverables must be original work created specifically for this Purchase Order and shall not infringe upon any third-party intellectual property rights.
3. Timeline: The Graphic Designer shall complete all deliverables within a period of 45 (forty-five) calendar days from the date of acceptance of this Purchase Order. A detailed project schedule shall be agreed upon within 5 business days of issuance.
4. Revisions: Each line item includes up to three (3) rounds of revisions. Additional revisions beyond the included rounds shall be billed at a rate of 5,000 DZD per hour, subject to prior written approval by the buyer.
5. 8. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
9. Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of termination by the buyer for convenience, the Graphic Designer shall be compensated for all work completed and approved up to the date of termination.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government actions, or public health emergencies as may occur in Algeria, Algiers, or elsewhere.
