The Graphic Designer shall deliver all professional creative work in accordance with the specifications outlined herein, adhering to the industry standards recognized by the Argentine design community and the regulatory framework governing professional services in Argentina Buenos Aires.

The engagement of this Graphic Designer is specifically tailored to the cultural, commercial, and regulatory context of Argentina Buenos Aires, ensuring that all visual deliverables reflect the local market expectations, comply with the Argentine Consumer Protection Law (Ley 24.240), and meet the aesthetic standards prevalent in the metropolitan area of Buenos Aires. The Graphic Designer is expected to demonstrate familiarity with the bilingual (Spanish/English) communication requirements common to businesses operating in Argentina Buenos Aires.

Payment for this Purchase Order shall be made in three (3) installments via bank transfer to the account designated by the Graphic Designer, in accordance with the banking regulations of the Banco Central de la República Argentina:

Installment 1 (40%): ARS 380,182.00 – Due upon signed acceptance of this Purchase Order and commencement of the project.
Installment 2 (35%): ARS 332,659.25 – Due upon delivery and approval of all intermediate design milestones.
Installment 3 (25%): ARS 237,613.75 – Due upon final delivery, acceptance of all deliverables, and issuance of the corresponding factura (invoice) by the Graphic Designer.

All payments are subject to the withholding obligations established by the Argentine Federal Administration of Public Revenue (AFIP). The Graphic Designer shall issue a factura electrónica (electronic invoice) compliant with the AFIP system for each installment received. Late payments shall accrue interest at the rate established by the Banco Central de la República Argentina for the applicable period.

The Graphic Designer shall deliver all work products in accordance with the following schedule, commencing on the date of mutual signature of this Purchase Order:

Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of the City of Buenos Aires, Argentina. The Graphic Designer confirms that they are a duly registered professional in Argentina Buenos Aires and that all services rendered shall comply with the professional conduct standards established by the relevant professional college.

Both parties acknowledge that this Purchase Order constitutes a binding commercial agreement. The Graphic Designer shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of ARS 5,000,000 for the duration of the engagement. All personal data processed in connection with this Purchase Order shall be handled in compliance with the Argentine Personal Data Protection Law (Ley 25.326).

Either party may terminate this Purchase Order with a written notice of fifteen (15) calendar days. In the event of cancellation by Meridian Digital Solutions S.A., the Graphic Designer shall be compensated for all work completed and accepted up to the date of termination. In the event of cancellation by the Graphic Designer without justified cause, a penalty of 10% of the total contract value shall be applied.
