This Purchase Order is issued by Andes Digital Solutions S.R.L. to formally engage the services of the above-named Graphic Designer for the execution of a comprehensive visual identity and branding project. The Graphic Designer shall provide all creative, technical, and artistic deliverables as specified below, operating within the jurisdiction of Argentina Córdoba and in full compliance with the provincial and national regulations governing professional services in the Province of Córdoba.

The scope of work assigned to the Graphic Designer includes, but is not limited to, the following deliverables:

• Development of a complete corporate visual identity package, including primary and secondary logo design, color palette, typography system, and brand guidelines document (minimum 40 pages).
• Design of a full set of corporate stationery: business cards, letterheads, envelopes, presentation folders, and digital email signatures.
• Creation of a 24-page corporate brochure in both print-ready and digital interactive formats, incorporating the new visual identity.
• Design of social media templates (minimum 15 unique layouts) for Facebook, Instagram, LinkedIn, and X (formerly Twitter) platforms.
• Development of a website visual design mockup (12 key pages) including responsive layouts for desktop, tablet, and mobile devices.
• Design of two (2) large-format outdoor advertising banners (3m x 6m) for placement in the city of Córdoba, Argentina.
• Preparation of all final files in industry-standard formats (AI, EPS, PDF, PNG, SVG, and TIFF at 300 DPI for print materials).

The total value of this Purchase Order for the Graphic Designer services is set forth in the table below. All amounts are expressed in Argentine Pesos (ARS) and are subject to the applicable Value Added Tax (IVA) at the current rate of 21% as established by the Administración Federal de Ingresos Públicos (AFIP) of Argentina.

IVA (21%): ARS 130,200.00

TOTAL AMOUNT DUE: ARS 750,200.00

Payment shall be made in three (3) installments: 40% upon signing of this Purchase Order, 35% upon approval of the visual identity package, and 25% upon final delivery and acceptance of all remaining deliverables. Payment shall be executed via bank transfer to the account designated by the Graphic Designer in the Province of Córdoba, Argentina.

The Graphic Designer shall adhere to the following schedule, with all work to be performed and delivered within the city of Córdoba, Province of Córdoba, Argentina:

• Week 1–2: Discovery phase, mood boards, and initial concept presentations for the visual identity.
• Week 3–4: Refinement of the selected concept and delivery of the complete brand guidelines document.
• Week 5–6: Design and delivery of stationery, brochure, and social media templates.
• Week 7–8: Website mockup design and outdoor banner artwork.
• Week 9: Final file preparation, quality assurance review, and delivery of all source files.

The Graphic Designer is granted a maximum of two (2) revision rounds per deliverable. Additional revisions beyond this scope shall be billed at a rate of ARS 8,500.00 per hour, subject to prior written authorization from the Purchasing Entity.

This Purchase Order is governed by the Civil and Commercial Code of the Argentine Nation (Ley 26.994) and the applicable commercial regulations of the Province of Córdoba. Both parties acknowledge that this engagement constitutes an independent contractor relationship and not an employment relationship under Argentine labor law (Ley de Contrato de Trabajo, Ley 20.744).

The Graphic Designer warrants that all work delivered under this Purchase Order shall be original, free from any third-party intellectual property claims, and in full compliance with the Argentine Intellectual Property Law (Ley 11.723). Upon full payment, all intellectual property rights to the final deliverables shall be irrevocably transferred to Andes Digital Solutions S.R.L.

The Graphic Designer shall maintain professional liability insurance with a minimum coverage of ARS 5,000,000.00 throughout the duration of this contract, as required for independent professionals operating in Argentina Córdoba.

Any dispute arising from this Purchase Order shall be resolved through the commercial courts of the city of Córdoba, Province of Córdoba, Argentina. Both parties agree to attempt mediation before initiating any judicial proceedings, in accordance with the mediation framework established by the provincial judiciary of Córdoba.

This Purchase Order becomes effective upon the written acceptance and signature of both parties. No modification, amendment, or cancellation of this document shall be valid unless executed in writing and signed by both the Purchasing Entity and the Graphic Designer.

By signing below, both parties confirm their full understanding and acceptance of all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Graphic Designer in the Province of Córdoba, Argentina.
