This Purchase Order is issued by Meridian Creative Solutions Pty Ltd to engage the services of a qualified Graphic Designer operating within the Australia Sydney metropolitan region. The Graphic Designer shall deliver all work in accordance with the creative brief attached as Schedule A to this Purchase Order and in compliance with all applicable Australian design and intellectual property standards.

Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule, all amounts denominated in Australian Dollars (AUD):

• 30% deposit (AUD 6,864.00) – Due upon acceptance and signing of this Purchase Order, payable within 7 business days via bank transfer to the account nominated by the Graphic Designer.
• 40% progress payment (AUD 9,152.00) – Due upon delivery and written approval of the primary logo and brand identity concepts, no later than 15 July 2025.
• 30% final payment (AUD 6,864.00) – Due upon final delivery of all deliverables, acceptance of the brand guidelines document, and issuance of a valid Australian tax invoice, no later than 15 August 2025.

All payments shall be made to the bank account specified on the supplier's tax invoice. Late payments shall attract interest at the rate prescribed under the Competition and Consumer Act 2010 (Cth) and the Small Business (Fair Dealing) Act 2020 (Cth), as applicable to transactions conducted in Australia Sydney.

1. This Purchase Order is governed by and shall be construed in accordance with the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Sydney.
2. The Graphic Designer warrants that all work delivered under this Purchase Order shall be original, free from any third-party intellectual property infringement, and compliant with the Copyright Act 1968 (Cth). Upon full and final payment, all intellectual property rights in the deliverables shall vest in Meridian Creative Solutions Pty Ltd.
3. The Graphic Designer shall maintain professional indemnity insurance with a minimum cover of AUD 5,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
4. All on-site meetings, presentations, and consultations shall be conducted at the client's premises located at Level 12, 200 George Street, Sydney NSW 2000, or at such other location in Australia Sydney as mutually agreed in writing.
5. The Graphic Designer shall comply with all applicable Australian workplace health and safety obligations, privacy legislation (including the Privacy Act 1988 (Cth)), and any relevant Australian Standards pertaining to design and print production.
6. Either party may terminate this Purchase Order by providing 14 days' written notice. In the event of termination, the client shall pay for all services rendered and materials procured up to the date of termination.
7. The Graphic Designer shall not subcontract any portion of the work without the prior written consent of Meridian Creative Solutions Pty Ltd. Any approved subcontractor shall be bound by the same terms as set out in this Purchase Order.
8. All communications, revisions, and approvals relating to this Purchase Order shall be conducted in English and documented in writing (including email) to be admissible as evidence of agreement.
