4.1 Acceptance. This Purchase Order constitutes a binding offer to purchase the Graphic Designer services described herein. Acceptance of this Purchase Order by the vendor, Studio Pixel & Form, shall be confirmed in writing within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.

4.2 Delivery and Location. All deliverables shall be produced and, where applicable, physically delivered to the Buyer’s premises located in Brussels, Belgium. The Graphic Designer is expected to conduct all on-site work within the Brussels-Capital Region. Digital deliverables shall be transferred via secure encrypted file transfer to the Buyer’s designated server.

4.3 Payment. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Graphic Designer. Invoices must include the vendor’s Belgian VAT number, the Purchase Order reference number (PO-BE-BRU-2025-00472), and a detailed breakdown of services rendered. Payment shall be executed via bank transfer to the IBAN specified in Section 2.

4.4 Intellectual Property. Upon full and final payment, all intellectual property rights in the deliverables created by the Graphic Designer shall be transferred to the Buyer in accordance with Article 1126 et seq. of the Belgian Code of Economic Law. The Graphic Designer retains the right to display the work in a professional portfolio, subject to the Buyer’s prior written consent for confidential materials.

4.5 Confidentiality. The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.

4.6 Cancellation and Termination. Either party may terminate this Purchase Order with fourteen (14) days’ written notice. In the event of cancellation by the Buyer after work has commenced, the Buyer shall compensate the Graphic Designer for all work completed up to the date of termination, plus a cancellation fee of 10% of the remaining contract value.

4.7 Dispute Resolution. Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Brussels, Belgium. The parties agree to attempt mediation before initiating formal legal proceedings, in accordance with Belgian civil procedure law.

4.8 Compliance. The Graphic Designer warrants that all services and deliverables shall comply with applicable Belgian and European Union legislation, including but not limited to the Belgian Copyright Act, the EU General Data Protection Regulation (GDPR), and all relevant consumer protection directives applicable in the Brussels-Capital Region.

4.9 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, war, government sanctions, or public health emergencies affecting the Brussels region.
