Description of Services – Graphic Designer Engagement
This Purchase Order is issued by Brasília Creative Solutions Ltda. to formally authorize and request the professional services of a qualified Graphic Designer for the execution of a comprehensive brand identity and visual communication project. The Graphic Designer shall provide all creative, technical, and design deliverables as specified in this document. All services shall be performed in accordance with the professional standards established by the Brazilian Association of Designers (ABD) and shall be delivered at the vendor's studio located in Brazil Brasília, or at the buyer's headquarters in the same city, as mutually agreed upon for each milestone.
The Graphic Designer is expected to demonstrate expertise in visual identity systems, print and digital media design, typography, color theory, and brand strategy. All work products must reflect the cultural and aesthetic sensibilities appropriate for a corporate entity operating in Brazil Brasília, the federal capital of the Republic of Brazil, while maintaining international design standards.

Terms and Conditions
- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Graphic Designer vendor. The vendor must sign and return a copy of this Purchase Order within five (5) business days of receipt.
- Payment Terms: Payment shall be made in three (3) installments: 40% upon signing of this Purchase Order, 40% upon delivery and approval of all design deliverables, and 20% upon final acceptance. Payments shall be made via bank transfer (TED/PIX) to the account designated by the Graphic Designer vendor, in Brazilian Reais (BRL).
- Delivery Schedule: The Graphic Designer shall deliver all work products according to the milestone schedule attached as Appendix A. All final files must be delivered in industry-standard formats (AI, PSD, PDF, PNG, SVG) to the buyer's project manager in Brazil Brasília.
- Intellectual Property: Upon full payment, all intellectual property rights to the final design deliverables shall transfer exclusively to Brasília Creative Solutions Ltda. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period.
- Compliance: The Graphic Designer shall comply with all applicable Brazilian labor laws, tax obligations (including ISS – Imposto Sobre Serviços applicable in Brazil Brasília), and professional registration requirements. The vendor must maintain valid CNPJ registration throughout the engagement period.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, brand assets, and business strategies disclosed during the course of this Purchase Order engagement.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Graphic Designer shall be compensated for all work completed and approved up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Brazil, with jurisdiction vested in the courts of Brazil Brasília, Distrito Federal.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Brazil Brasília.
Acceptance Criteria
All deliverables produced by the Graphic Designer shall be subject to a formal acceptance review by the buyer's Marketing & Branding Division. The buyer shall have ten (10) business days from the date of delivery to review and either accept or request revisions. Failure to respond within this period shall constitute deemed acceptance. All revisions requested must fall within the scope defined in this Purchase Order.
