- Place of Performance: All services under this Purchase Order shall be performed by the Graphic Designer at the buyer's office located in Brazil Rio de Janeiro, or remotely as mutually agreed in writing. The primary delivery and presentation of all design work shall take place in Brazil Rio de Janeiro.
- Intellectual Property: Upon full payment, all original Graphic Designer work products, including but not limited to logos, illustrations, layouts, and source files, shall become the exclusive property of Horizonte Digital Solutions Ltda. The Graphic Designer retains the right to display completed work in a professional portfolio, subject to a 90-day embargo period.
- Revisions: Each line item includes the number of revisions specified. Additional revisions beyond the agreed scope shall be billed at R$ 180.00 per hour by the Graphic Designer.
- Payment Schedule: 40% advance payment upon Purchase Order acceptance; 40% upon delivery of 70% of deliverables; 20% upon final acceptance. Payment shall be made via bank transfer (TED/PIX) to the account designated by the Graphic Designer.
- Delivery Timeline: The Graphic Designer shall complete all deliverables within 45 (forty-five) calendar days from the date of this Purchase Order, unless otherwise specified per line item. Delays caused by the buyer's failure to provide timely feedback shall extend the deadline accordingly.
- Termination: Either party may terminate this Purchase Order with 15 (fifteen) days written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of Rio de Janeiro, state of Rio de Janeiro, Brazil.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased materials of Horizonte Digital Solutions Ltda. encountered during the performance of services in Brazil Rio de Janeiro.
- Compliance: The Graphic Designer warrants that all work products shall be original and shall not infringe upon any third-party intellectual property rights under Brazilian law. The Graphic Designer shall indemnify the buyer against any claims arising from copyright or trademark infringement.
