This Purchase Order is issued by Lumière Digital Solutions Inc. to engage the services of a qualified Graphic Designer operating in Canada Montreal for the purpose of delivering comprehensive visual identity, brand collateral, and digital design assets. Terms and Conditions- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Graphic Designer or their authorized representative. The Graphic Designer shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Performance Location: All services under this Purchase Order shall be performed by the Graphic Designer at their registered office in Canada Montreal or at the client's premises in Montreal, Quebec, as mutually agreed upon in writing. The Graphic Designer shall comply with all local business licensing requirements applicable in Canada Montreal.
- Delivery Schedule: The Graphic Designer shall deliver all project milestones in accordance with the timeline specified in Appendix A. Final deliverables for all line items shall be completed no later than August 15, 2025. Delays exceeding ten (10) business days without written justification may result in a 2% per diem penalty on the affected line item value.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Graphic Designer. Invoices must include the Purchase Order number (PO-2025-MTL-04782), applicable GST and QST numbers, and a detailed description of services rendered. Payment shall be made via electronic funds transfer (EFT) to the bank account specified above.
- Intellectual Property: Upon full payment, all original work product created by the Graphic Designer specifically for this Purchase Order shall become the sole property of Lumière Digital Solutions Inc. The Graphic Designer retains the right to display completed work in their professional portfolio, subject to a 90-day embargo period from final delivery.
- Revisions: The Graphic Designer shall include two (2) rounds of revisions per line item at no additional charge. Additional revision cycles beyond the included rounds shall be billed at the Graphic Designer's standard hourly rate of $95.00 CAD per hour.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased materials accessed during the performance of this Purchase Order. This obligation shall survive termination of this agreement for a period of three (3) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada applicable in the Province of Quebec. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Montreal before proceeding to the Superior Court of Quebec.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Graphic Designer shall be compensated for all services rendered and materials procured up to the effective date of termination.
- Insurance: The Graphic Designer shall maintain professional liability insurance with a minimum coverage of $1,000,000 CAD and shall provide a certificate of insurance upon request prior to commencing work under this Purchase Order.
