This Purchase Order is issued by Northbridge Digital Solutions Inc., a corporation registered in the Province of Ontario, to formally engage the services of Creative Canvas Design Studio, a licensed Graphic Designer firm operating out of Canada Toronto, for the purpose of delivering comprehensive brand identity and visual communication deliverables. The Graphic Designer shall provide all creative assets in accordance with the specifications outlined below and in compliance with all applicable Canadian intellectual property legislation, including the Copyright Act of Canada.

1. This Purchase Order constitutes a binding agreement between Northbridge Digital Solutions Inc. and Creative Canvas Design Studio for the provision of Graphic Designer services as described herein. Both parties are physically located and legally operating within Canada Toronto, Ontario.
2. The Graphic Designer shall commence work within five (5) business days of receiving written confirmation of this Purchase Order and a 50% deposit payment of $7,175.50 CAD.
3. All deliverables must comply with the Canadian Accessibility Standards for visual design, ensuring that all graphic materials are accessible to individuals with visual impairments, in accordance with the Accessibility for Ontarians with Disabilities Act (AODA).
4. Intellectual property for all final deliverables shall transfer exclusively to Northbridge Digital Solutions Inc. upon full payment. The Graphic Designer retains the right to display completed work in their professional portfolio, subject to a 90-day embargo period from the date of final delivery.
5. Any changes to scope beyond the specifications listed in this Purchase Order shall require a written change order signed by both parties. Additional Graphic Designer hours beyond the agreed scope shall be billed at a rate of $95.00 CAD per hour.
6. Payment is due within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with the Ontario Interest Act applicable in Canada Toronto.
7. This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this agreement shall be resolved through mediation in Canada Toronto before proceeding to litigation in the Ontario Superior Court of Justice.
8. The Graphic Designer warrants that all work delivered shall be original, free from infringement of any third-party intellectual property rights, and shall not contain any unlicensed stock imagery, fonts, or proprietary assets without prior written disclosure to the buyer.
9. Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the buyer shall pay for all work completed and approved up to the date of termination.
10. All communications regarding this Purchase Order shall be conducted in English. The Graphic Designer shall provide weekly progress updates via email to the designated procurement contact in Canada Toronto.
