Terms and Conditions of This Purchase Order
- This Purchase Order constitutes a binding agreement between Northwest Creative Solutions Inc. (Buyer) and Coastal Design Collective Ltd. (Vendor) for the provision of Graphic Designer professional services as described herein. All work shall be performed in accordance with the standards expected of a qualified Graphic Designer operating within the Canada Vancouver creative industry.
- The Vendor shall assign a dedicated Senior Graphic Designer as the primary point of contact for all deliverables. The Graphic Designer must possess a minimum of seven (7) years of professional experience in brand identity and visual communication design.
- All deliverables under this Purchase Order must be completed and submitted to the Buyer no later than August 15, 2025. The Graphic Designer shall provide weekly progress reports every Friday at 5:00 PM Pacific Time to the Buyer's project supervisor.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Invoices must reference this Purchase Order number (PO-2025-VAN-04872) and include the Vendor's Business Number for tax compliance in Canada Vancouver.
- All intellectual property rights, including but not limited to logos, illustrations, typography selections, and design files, shall transfer exclusively to the Buyer upon full payment. The Graphic Designer retains the right to display completed work in a professional portfolio with prior written consent from the Buyer.
- The Vendor shall comply with all applicable federal and provincial regulations in British Columbia, Canada Vancouver, including but not limited to the Canada Labour Code, the Personal Information Protection Act (PIPA), and the Business Corporations Act (BC).
- Any changes to the scope of work, additional hours, or modifications to the Graphic Designer deliverables must be documented in a written Change Order signed by both parties before work commences. Unauthorized scope changes will not be compensated under this Purchase Order.
- The Vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 CAD for the duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer prior to the commencement of work.
- This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver. Any disputes arising from this agreement shall be resolved through mediation in Vancouver, BC before proceeding to litigation.
- The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days written notice. In such an event, the Buyer shall compensate the Graphic Designer for all work completed and documented up to the termination date, less any applicable deductions for incomplete deliverables.
