This Purchase Order is issued by Horizon Digital Media Group Co., Ltd. (hereinafter referred to as the "Buyer") to Creative Vertex Design Studio (hereinafter referred to as the "Seller") for the procurement of professional Graphic Designer services. The Seller shall provide a senior-level Graphic Designer to execute a comprehensive brand identity overhaul, marketing collateral design, and digital asset creation for the Buyer's upcoming product launch campaign. All services under this Purchase Order shall be performed at the Seller's registered office located in China Beijing, with on-site collaboration sessions to be conducted at the Buyer's headquarters in Xicheng District, China Beijing.

• Phase 1 (Weeks 1–3): The Graphic Designer shall complete the brand identity redesign and present initial concepts to the Buyer's creative team in China Beijing.
• Phase 2 (Weeks 4–6): The Graphic Designer shall deliver all marketing collateral designs for review and approval.
• Phase 3 (Weeks 7–9): The Graphic Designer shall produce all digital assets and integrate them into the Buyer's content management system.
• Phase 4 (Week 10): Final revisions, quality assurance, and complete file delivery. Project closure and final acceptance sign-off.

• 5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All services shall be governed by the laws of the People's Republic of China, with jurisdiction in the courts of China Beijing.
• 5.2 The Seller guarantees that the assigned Graphic Designer shall possess a minimum of eight (8) years of professional experience in brand design, visual communication, and digital media. The Graphic Designer shall not be reassigned without prior written consent from the Buyer.
• 5.3 Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon completion of Phase 2, and 20% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the Seller's designated account in China Beijing.
• 5.4 All intellectual property rights, copyrights, and design ownership for work produced under this Purchase Order shall transfer exclusively to the Buyer upon full payment. The Graphic Designer and the Seller shall execute a formal IP assignment document in China Beijing.
• 5.5 The Seller shall maintain full professional liability insurance covering the Graphic Designer's work. Any damages arising from copyright infringement or design errors shall be the sole responsibility of the Seller.
• 5.6 The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice in the event of material breach by the Seller, including but not limited to failure to meet project milestones or unprofessional conduct by the Graphic Designer.
• 5.7 All communications, revisions, and approvals related to this Purchase Order shall be conducted in writing. Verbal agreements made during on-site sessions in China Beijing shall not be binding unless confirmed in writing within 48 hours.
• 5.8 The Seller shall comply with all applicable data protection regulations of the People's Republic of China when handling the Buyer's confidential brand materials and proprietary information.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Graphic Designer services in China Beijing. This document is executed in two (2) original copies, one for each party.
