This Purchase Order is issued by Nile Creative Solutions S.A.E., a registered entity operating in Egypt Cairo, to formally request and authorize the procurement of professional Graphic Designer services from Cairo Visual Arts Studio. This document serves as a binding agreement between both parties for the delivery of design services as specified herein. The Graphic Designer engaged under this Purchase Order shall perform all duties and deliverables within the geographic and operational boundaries of Egypt Cairo, adhering to the standards and regulations applicable to creative and design professions in the Egyptian capital.

The Graphic Designer assigned to this Purchase Order shall be a qualified professional with a minimum of five (5) years of experience in brand design, print production, and digital media. All work shall be produced, reviewed, and delivered at the vendor's studio located in Egypt Cairo, or at the buyer's premises in Egypt Cairo as mutually agreed upon. The Graphic Designer shall provide source files (Adobe Illustrator, Photoshop, InDesign) alongside final rendered outputs in all required formats. All deliverables must comply with Egyptian intellectual property law and the buyer's brand guidelines. The Graphic Designer shall attend a minimum of two (2) in-person review meetings per month at the buyer's office in Egypt Cairo to ensure alignment with project objectives.

• Payment Terms: 40% advance upon acceptance of this Purchase Order; 40% upon delivery of 75% of all deliverables; 20% upon final acceptance. Payments shall be made via bank transfer to the vendor's account in Egypt Cairo.
• Delivery Schedule: All project-based deliverables (Items 01–04 and 06) shall be completed within ninety (90) calendar days from the date of this Purchase Order. The retainer (Item 05) shall commence on 1 July 2025 and conclude on 31 December 2025.
• Revisions: The Graphic Designer shall include up to three (3) rounds of revisions per deliverable at no additional cost. Additional revisions shall be billed at EGP 1,200 per hour.
• Intellectual Property: Upon full payment, all rights to the final designs created under this Purchase Order shall transfer to the buyer. The Graphic Designer retains the right to display completed work in their professional portfolio.
• Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall pay for all work completed up to the termination date.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes shall be resolved through arbitration in Egypt Cairo in accordance with the rules of the Egyptian Arbitration Center.
• Confidentiality: The Graphic Designer shall maintain strict confidentiality regarding all proprietary information, brand assets, and business strategies disclosed during the course of this engagement in Egypt Cairo.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or civil unrest affecting operations in Egypt Cairo.
