This Purchase Order is issued by Frankfurt Media Solutions GmbH to engage the services of a qualified Graphic Designer based in Germany Frankfurt for the purpose of delivering a comprehensive suite of visual design assets for the company's Q3 2025 marketing campaign. The Graphic Designer shall be responsible for the conceptualization, design, and final production of all print and digital materials as specified in the line items below. All deliverables must comply with the brand guidelines provided by Frankfurt Media Solutions GmbH and must be delivered in formats suitable for both print reproduction and digital distribution across European markets.
The Graphic Designer is expected to work in close coordination with the internal marketing team located at our Frankfurt headquarters. All project meetings, revisions, and final approvals shall take place at the Frankfurt office or via secure video conference. The Graphic Designer acknowledges that this Purchase Order constitutes a binding agreement under the commercial law of the Federal Republic of Germany, specifically governed by the German Civil Code (Bürgerliches Gesetzbuch – BGB) and the applicable provisions of the German Commercial Code (Handelsgesetzbuch – HGB).

The Graphic Designer shall deliver all work-in-progress files for review no later than the dates specified in the attached project timeline (Appendix A). Final production-ready files must be delivered to the Frankfurt Media Solutions GmbH marketing department no later than 22 August 2025 to allow sufficient lead time for the Frankfurt Trade Fair preparation. Acceptance of deliverables shall be confirmed in writing by the Project Lead within five (5) business days of receipt. Failure to provide written rejection within this period shall constitute deemed acceptance under the terms of this Purchase Order.
5.1 Payment: Payment of the full amount stated in this Purchase Order shall be made via SEPA bank transfer to the IBAN specified in Section 1 within thirty (30) calendar days of the invoice date. Late payments shall incur interest at the statutory rate pursuant to § 288 BGB.
5.2 Intellectual Property: Upon full and final payment, all intellectual property rights, including but not limited to copyright, design rights, and moral rights, in the deliverables produced by the Graphic Designer shall be irrevocably transferred to Frankfurt Media Solutions GmbH. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period following public release.
5.3 Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased materials accessed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
5.4 Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Graphic Designer shall be compensated for all work completed and approved up to the date of termination.
5.5 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
5.6 Data Protection: Both parties shall comply with the European General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (Bundesdatenschutzgesetz – BDSG) in the processing of any personal data exchanged in connection with this Purchase Order.
This Purchase Order is issued and authorised by the undersigned on behalf of Frankfurt Media Solutions GmbH. The Graphic Designer acknowledges receipt and acceptance of the terms and conditions set forth in this document by signing below.
