This Purchase Order is issued by Savannah Creative Holdings Ltd. to formally engage the services of a qualified Graphic Designer operating under Kente Visual Design Studio, based in Ghana Accra. The Graphic Designer shall deliver a comprehensive suite of visual communication assets for the Buyer’s upcoming product launch campaign scheduled for the third quarter of 2025. All design work shall be executed in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW-2025-114).

The Graphic Designer shall adhere to the following milestone schedule. All deliverables must be submitted to the Buyer’s designated project manager at the Ghana Accra office no later than the dates specified below. Late delivery beyond five (5) business days without written justification may result in a penalty of 2% of the affected line-item value per day of delay.
- Milestone 1 (by 28 June 2025): Initial brand identity concepts and mood boards delivered for Buyer review.
- Milestone 2 (by 15 July 2025): Finalised brand guidelines, print collateral source files, and first batch of social media creatives.
- Milestone 3 (by 05 August 2025): Complete digital package, packaging design files, and 3D mockups.
- Milestone 4 (by 20 August 2025): On-site Graphic Designer support at the Ghana Accra launch venue; all print supervision completed.
- Intellectual Property: Upon full and final payment under this Purchase Order, all rights, title, and interest in the Graphic Designer’s deliverables shall vest exclusively in the Buyer. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo from the public launch date in Ghana Accra.
- Revisions: Each line item includes the number of revision rounds specified. Additional revisions beyond the agreed scope shall be billed at GHS 1,200.00 per hour, subject to prior written approval via a Purchase Order amendment.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, product specifications, and marketing strategies disclosed during the engagement in Ghana Accra. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Compliance: The Graphic Designer warrants that all deliverables are original works and do not infringe upon any third-party intellectual property rights under the laws of the Republic of Ghana, including the Copyright Act, 2005 (Act 690).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Ghana Accra, or pandemics, provided that the affected party notifies the other within 48 hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes shall be resolved through arbitration in Accra under the rules of the Ghana Arbitration Centre.
Payment shall be made via bank transfer to the following account within thirty (30) calendar days of receipt of a valid tax invoice from the Graphic Designer’s studio. The Buyer reserves the right to withhold 10% of the final milestone payment until all deliverables have been accepted in writing.
