- This Purchase Order constitutes a binding agreement between the buyer and the Graphic Designer upon signature by both parties. All terms are governed by the laws of the Republic of India, with jurisdiction in the courts of India Mumbai.
- The Graphic Designer shall maintain full intellectual property rights transfer to the buyer upon final payment. All source files (Adobe Illustrator, Photoshop, InDesign) shall be delivered in editable format.
- Payment shall be made via NEFT/RTGS to the bank account specified by the Graphic Designer. Invoices must be submitted within 7 days of milestone completion. The buyer shall process payment within 30 days of invoice receipt.
- A minimum of two (2) revision rounds are included per deliverable. Additional revisions beyond the agreed scope shall be billed at INR 2,500 per hour, subject to prior written approval via this Purchase Order amendment.
- The Graphic Designer shall comply with all applicable Indian tax regulations, including GST filing obligations in the India Mumbai jurisdiction. A valid GST invoice must accompany every payment request.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all brand assets, trade secrets, and proprietary information shared during the engagement. This obligation survives for 24 months post-contract.
- Either party may terminate this Purchase Order with 15 days' written notice. In such cases, the buyer shall pay for all work completed up to the termination date, and the Graphic Designer shall deliver all in-progress files.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or events beyond reasonable control, particularly those affecting operations in India Mumbai.
- All disputes arising from this Purchase Order shall first be attempted to be resolved through mediation in Mumbai, Maharashtra, before resorting to litigation.
By signing below, both parties acknowledge and agree to all terms specified in this Purchase Order for the engagement of the Graphic Designer in India Mumbai. This document is valid for acceptance within 15 days of the issue date.
