1. This Purchase Order constitutes a binding agreement between Nusantara Digital Solutions PT (hereinafter "Buyer") and Kreatif Visual Studio CV (hereinafter "Seller") for the provision of Graphic Designer professional services as itemized above. All work shall be performed by the designated Graphic Designer or their qualified team members based in Indonesia Jakarta.
2. The Graphic Designer shall deliver all design assets in industry-standard formats (AI, PSD, PDF, PNG, SVG) and shall provide full source file ownership upon final payment. All intellectual property rights to the completed Graphic Designer work shall transfer exclusively to the Buyer upon receipt of full payment.
3. Payment shall be made via bank transfer to the Seller's designated account in Indonesia Jakarta within thirty (30) calendar days from the date of invoice issuance. Late payments shall incur a penalty of 2% per month as stipulated under Indonesian commercial law.
4. The Graphic Designer shall provide a minimum of three (3) revision rounds for each design deliverable. Additional revisions beyond the agreed scope shall be billed separately at a rate of IDR 1,500,000 per revision cycle.
5. The Graphic Designer is required to maintain a minimum of two (2) on-site working days per week at the Buyer's office in Indonesia Jakarta (Menara Sudirman, Jakarta Selatan) during the active project phase to ensure seamless collaboration and timely feedback integration.
6. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta under the rules of the Indonesian National Board of Arbitration (BANI).
7. The Seller warrants that the Graphic Designer engaged under this Purchase Order possesses a minimum of five (5) years of professional experience in brand identity design and corporate visual communication, and holds a valid business license (NIB) registered in Indonesia Jakarta.
8. Cancellation of this Purchase Order by either party prior to project commencement shall require thirty (30) days written notice. Cancellation after project commencement shall be subject to a penalty of 25% of the total Purchase Order value.
9. The Seller shall comply with all applicable data protection regulations under Indonesian Law No. 27 of 2022 (Personal Data Protection Law) when handling any confidential client information provided to the Graphic Designer during the course of this engagement in Indonesia Jakarta.
