This Purchase Order is issued by Jerusalem Creative Industries Ltd. to formally engage the services of a qualified Graphic Designer for the execution of a comprehensive visual branding and marketing collateral project. The Graphic Designer, identified as Michal Ben-David, shall deliver all design assets in accordance with the specifications outlined below. All work shall be performed in compliance with the professional standards recognized by the Israel Graphic Designers Association and applicable regulations within Israel Jerusalem.

Payment for the services rendered by the Graphic Designer shall be made in accordance with the following schedule, as stipulated in this Purchase Order:

All payments shall be made in Israeli New Shekels (ILS) via bank transfer. Late payments shall incur interest at the rate of 1.5% per month as per Israeli commercial law. The Graphic Designer shall issue a valid VAT invoice for each payment milestone prior to the transfer of funds.

1. Intellectual Property: Upon full and final payment, all rights, title, and interest in the Graphic Designer's work product, including but not limited to logos, illustrations, layouts, and source files, shall be transferred exclusively to Jerusalem Creative Industries Ltd. The Graphic Designer retains the right to display the work in a professional portfolio for self-promotional purposes only.
2. Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement in Israel Jerusalem. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
3. Compliance: All design work shall comply with the Israeli Copyright Law, 5765-2007, and the regulations of the Israel Jerusalem municipal authority regarding public-facing signage and advertising materials.
4. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Graphic Designer shall be compensated for all work completed and approved up to the date of termination.
5. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts in Israel Jerusalem.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Israel Jerusalem.
