- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order relating to the Graphic Designer engagement shall be resolved in the competent courts of Israel Tel Aviv.
- Intellectual Property: Upon full and final payment, all intellectual property rights in the deliverables produced by the Graphic Designer shall transfer irrevocably to Meridian Digital Solutions Ltd. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period from final delivery.
- Payment Schedule: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of Milestone M2; 30% upon final delivery at Milestone M5. All payments shall be made via bank transfer to the account specified by Orion Creative Studio in Israel Tel Aviv.
- Revisions: The Graphic Designer shall include up to three (3) rounds of revisions per deliverable at no additional cost. Additional revision cycles beyond the included rounds shall be billed at ILS 850 per hour.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, brand assets, and business strategies disclosed during the course of this Purchase Order. This obligation shall survive termination for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered by the Graphic Designer up to the date of termination, less any applicable deductions for incomplete work.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Israel Tel Aviv.
- Compliance: The Graphic Designer warrants that all deliverables are original works and do not infringe upon any third-party intellectual property rights under Israeli or international law. The Graphic Designer shall indemnify the Buyer against any claims arising from such infringement.
- Acceptance: Deliverables shall be deemed accepted if the Buyer does not provide written notice of non-conformity within ten (10) business days of receipt. Failure to respond within this window constitutes acceptance of the Graphic Designer's work.
- Working Language: All communications, documentation, and deliverable annotations under this Purchase Order shall be conducted in English, with Hebrew translations provided where legally required for filings in Israel Tel Aviv.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Graphic Designer services as described herein. This document constitutes a binding commercial agreement between the parties under the laws of Israel Tel Aviv.
