This Purchase Order is issued by Campania Creative Solutions S.r.l. to formally engage the services of a qualified Graphic Designer operating within the Italy Naples metropolitan area. The Graphic Designer shall provide comprehensive visual communication services as detailed in the line items below. All deliverables must comply with the Italian Legislative Decree 626/1994 (as amended) regarding workplace safety and the applicable provisions of the Italian Civil Code governing service contracts (Articles 2222–2243). The Graphic Designer is expected to maintain a professional studio presence in Italy Naples and to conduct all client meetings, presentations, and on-site consultations within the Naples municipal boundaries unless otherwise agreed in writing.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with exclusive jurisdiction of the Courts of Naples (Tribunale di Napoli), Italy Naples.
- Intellectual Property: Upon full payment of all invoices associated with this Purchase Order, all intellectual property rights in the Graphic Designer's deliverables shall transfer irrevocably to the Buyer. The Graphic Designer retains the right to display the work in a professional portfolio, subject to the Buyer's prior written consent for any commercial use by third parties.
- Payment: Invoices shall be issued monthly or per milestone as agreed. Payment is due within thirty (30) calendar days of the invoice date via bank transfer to the account specified by the Graphic Designer. Late payments shall accrue interest at the rate set by the European Central Bank plus eight (8) percentage points, in accordance with Italian Legislative Decree 231/2002.
- Revisions: Each project line item includes two (2) rounds of revisions. Additional revision cycles beyond the included amount shall be billed at the Graphic Designer's standard hourly rate of €85.00 per hour, subject to prior written approval by the Buyer.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. The Graphic Designer shall deliver all work-in-progress files within ten (10) business days of the termination notice.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the Italy Naples region.
- Compliance: The Graphic Designer warrants that all deliverables are original works free from any third-party intellectual property infringement. The Graphic Designer shall indemnify the Buyer against any claims arising from copyright or trademark violations in the delivered materials.
- Working Location: The Graphic Designer shall perform the majority of services from their registered studio in Italy Naples. Remote work is permitted for up to 30% of total hours, provided that all client-facing meetings and installations take place in person within the Naples metropolitan area.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith mediation in Naples. If mediation fails within sixty (60) days, the dispute shall be referred to the competent courts of Italy Naples.
