This Purchase Order is issued by Studio Aurea S.r.l. (hereinafter referred to as the "Buyer") to engage the services of Marco Bellini, a professional Graphic Designer (hereinafter referred to as the "Seller"), for the provision of creative and visual design services to be performed in and around Italy Rome. This document constitutes a binding agreement upon countersignature by both parties and supersedes all prior verbal or written communications regarding the scope of work described herein.

The Buyer hereby requests and the Seller agrees to provide the following professional services as a Graphic Designer operating within the metropolitan area of Italy Rome:

All services under this Purchase Order shall be performed primarily at the Buyer's headquarters located at Via del Corso 142, 00186, Italy Rome, or at such other locations within the Rome metropolitan area as mutually agreed in writing. The Graphic Designer is expected to be physically present in Italy Rome for a minimum of three (3) days per week during the active contract period. Remote work from a registered address within the Lazio region is permissible for up to two (2) days per week, provided that all deliverables meet the quality standards specified in Section 5 of this Purchase Order.

The Seller shall comply with all applicable Italian labor regulations, tax obligations, and professional standards governing freelance creative professionals operating in Italy Rome. The Seller confirms that he holds a valid Partita IVA (VAT number) and is registered with the relevant Italian Chamber of Commerce (Camera di Commercio di Roma) for the provision of graphic design and creative services.

Payment for services rendered under this Purchase Order shall be made in accordance with the following schedule:

• Advance Payment: 30% of the total contract value (€6,240.00) shall be paid within ten (10) business days of the execution of this Purchase Order, via bank transfer to the Seller's designated account in Italy Rome.
• Milestone Payments: 40% of the total contract value (€8,320.00) shall be paid in two equal installments upon completion and written acceptance of the brand identity project (Item 01) and the web design project (Item 03), respectively.
• Monthly Retainer: The remaining 30% (€6,240.00) shall be invoiced and paid on a monthly basis (€1,040.00 per month) for the ongoing support retainer (Item 04), due within fifteen (15) business days of invoice receipt.

All invoices must reference this Purchase Order number (PO-2025-ROME-GD-0047) and include the Seller's VAT number. Late payments shall accrue interest at the rate prescribed by Italian law (Legge 192/1998). The Buyer reserves the right to withhold payment for any deliverable that does not meet the agreed specifications, pending resolution of the discrepancy.

The Graphic Designer shall deliver all work products in industry-standard formats (AI, PSD, PDF, SVG, PNG, and source files as applicable) and shall ensure that all designs comply with the Buyer's brand guidelines and the creative briefs provided in writing. Each deliverable shall undergo a review period of five (5) business days, during which the Buyer may request up to two (2) rounds of revisions at no additional cost. Additional revision cycles beyond the included rounds shall be billed at the applicable hourly rate stated in Section 2.

Acceptance of any deliverable shall be confirmed in writing by the Buyer's Creative Director. Failure to provide written acceptance or rejection within the review period shall constitute deemed acceptance of the work.

Upon full and final payment under this Purchase Order, all intellectual property rights in the final approved deliverables shall vest exclusively in the Buyer. The Graphic Designer retains the right to display completed work in his professional portfolio, subject to the Buyer's prior written consent and any non-disclosure obligations. Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement in Italy Rome. This confidentiality obligation shall survive the termination of this Purchase Order for a period of three (3) years.

Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the effective date of termination. This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts of Italy Rome.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Graphic Designer in Italy Rome.
