- Acceptance: This Purchase Order becomes binding upon written acceptance by the Graphic Designer or their authorized representative within five (5) business days of the issue date. Failure to respond within this period shall be considered a declination of this Purchase Order.
- Payment Terms: Payment shall be made in three installments: 40% upon contract execution, 40% upon delivery of all primary deliverables, and 20% upon final acceptance and sign-off by the Japan Kyoto Brand Committee. All payments shall be processed via bank transfer to the account designated by the Graphic Designer.
- Intellectual Property: Upon full payment, all rights, titles, and interests in the Graphic Designer's work product, including but not limited to logos, illustrations, digital assets, and source files, shall be transferred irrevocably to Kyoto Creative Industries Co., Ltd. The Graphic Designer retains the right to display the work in a professional portfolio.
- Timeline: The Graphic Designer shall adhere to the milestone schedule attached as Appendix A. Any delay exceeding ten (10) business days without written justification may result in a penalty of 2% of the total Purchase Order value per week of delay.
- Quality Standards: All deliverables must meet the resolution, format, and brand compliance standards specified in the Japan Kyoto Brand Guidelines (Version 4.2, 2025). The Graphic Designer is expected to deliver files in AI, PSD, PDF, PNG, and SVG formats as applicable.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, unreleased product details, and strategic plans disclosed during the course of this engagement in Japan Kyoto.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or other events beyond reasonable control, particularly those affecting operations in the Japan Kyoto region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Graphic Designer in support of the Japan Kyoto brand initiative.
