This Purchase Order is issued by Kansai Digital Media Solutions Co., Ltd. to formally engage the services of a qualified Graphic Designer operating within the metropolitan region of Japan Osaka. The purpose of this Purchase Order is to commission a comprehensive suite of graphic design deliverables for the upcoming fiscal year marketing campaign, corporate rebranding initiative, and regional promotional materials targeting the Kansai region. The selected Graphic Designer shall deliver all work in accordance with the specifications outlined in this Purchase Order and in compliance with all applicable Japanese commercial and intellectual property laws governing the Japan Osaka business district.

Payment for this Purchase Order shall be made in accordance with the following schedule: a 30% advance payment (JPY 940,500) due within ten (10) business days of the acceptance of this Purchase Order; a 40% interim payment (JPY 1,254,000) due upon delivery and approval of all print and digital design assets; and a 30% final payment (JPY 940,500) due within fifteen (15) business days of final acceptance of the brand style guide and completion of all consultation sessions. All payments shall be remitted via bank transfer to the supplier's designated account at Sumitomo Mitsui Banking Corporation, Osaka Branch. Late payments shall incur interest at the rate of 1.5% per month as stipulated under the Japanese Act on Delayed Payment of Compensation to Small and Medium-Sized Enterprises.

The Graphic Designer shall deliver all commissioned work to the Japan Osaka office of Kansai Digital Media Solutions Co., Ltd. located at 3-2-1 Umeda, Kita-ku, Osaka. The initial concept presentations are due no later than June 30, 2025. Final print-ready files and digital assets must be delivered by August 15, 2025. The brand style guide and all consultation sessions must be completed by September 30, 2025. All deliverables shall be provided in industry-standard formats (AI, PSD, PDF, PNG, SVG) and stored on the company's secure Japan Osaka cloud server. The Graphic Designer is responsible for ensuring all files meet the technical specifications required for both domestic Japanese print vendors and international digital platforms.

7.1 This Purchase Order is governed by the laws of Japan, with the Osaka District Court designated as the primary venue for any disputes arising from the interpretation or execution of this Purchase Order.
7.2 The Graphic Designer warrants that all work produced under this Purchase Order shall be original, free from any third-party intellectual property claims, and shall not infringe upon any existing trademarks, copyrights, or design patents registered in Japan or internationally.
7.3 Upon full payment, all intellectual property rights to the final deliverables shall transfer exclusively to Kansai Digital Media Solutions Co., Ltd. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period following public release in Japan Osaka.
7.4 The Graphic Designer shall maintain professional liability insurance with a minimum coverage of JPY 50,000,000 for the duration of this Purchase Order.
7.5 Any revisions beyond the scope defined in this Purchase Order shall be subject to a separate written amendment and additional fees agreed upon by both parties.
7.6 The Graphic Designer shall comply with all data protection requirements under the Japanese Act on the Protection of Personal Information (APPI) when handling any client data during the execution of this Purchase Order in Japan Osaka.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Graphic Designer in Japan Osaka. This Purchase Order becomes effective upon the signature of both authorized representatives.
