This Purchase Order is issued by Almaty Digital Solutions LLP to engage the services of a qualified Graphic Designer, Dana Serikbayeva, for the provision of comprehensive visual design services. The Graphic Designer shall be responsible for the creation, development, and delivery of all branded visual assets required for the company's upcoming product launch campaign scheduled for Q3 2025. All work shall be performed in the Graphic Designer's studio located in Kazakhstan Almaty, and all deliverables must comply with the brand guidelines specified in the attached Statement of Work (SOW).

Payment for the services outlined in this Purchase Order shall be made in accordance with the following schedule: a 40% advance payment (USD 5,600.00) shall be due within five (5) business days of the signed acceptance of this Purchase Order. The remaining 60% (USD 8,400.00) shall be due within ten (10) business days following the final delivery and written acceptance of all deliverables by the Buyer. Payment shall be made via bank transfer to the account designated by the Graphic Designer. All payments are subject to the applicable tax regulations of the Republic of Kazakhstan. The Graphic Designer shall provide a valid invoice (sчёт-faktura) for each payment installment in compliance with Kazakhstani tax law.

The Graphic Designer shall commence work within three (3) business days of receiving the advance payment. The complete project timeline is estimated at eight (8) weeks from the start date. Milestone deliveries are as follows: Brand Identity Package by Week 3, Marketing Collateral by Week 5, Packaging Design by Week 7, and Digital Assets with final file delivery by Week 8. All deliverables shall be submitted electronically via the Buyer's designated project management platform. The Graphic Designer is based in Kazakhstan Almaty and shall be available for in-person meetings at the Buyer's office on Dostyk Avenue, Almaty, upon reasonable notice (minimum 48 hours).

This Purchase Order is governed by the Civil Code of the Republic of Kazakhstan and applicable commercial regulations. The Graphic Designer warrants that all work delivered shall be original, free from intellectual property infringement, and created exclusively for the Buyer. Upon full payment, all intellectual property rights to the final deliverables shall transfer to Almaty Digital Solutions LLP. The Graphic Designer retains the right to display the work in a professional portfolio, subject to the Buyer's prior written consent. Any changes to the scope of work beyond the terms specified in this Purchase Order shall require a written amendment signed by both parties. The Graphic Designer shall maintain professional liability insurance valid in Kazakhstan Almaty for the duration of the engagement. Disputes arising from this Purchase Order shall be resolved through negotiation, and if unresolved, through the competent courts of Almaty, Kazakhstan.

The Graphic Designer acknowledges receipt of the Buyer's Confidentiality Agreement dated June 1, 2025, and agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
