1. This Purchase Order constitutes a binding agreement between Meridian Creative Solutions Sdn. Bhd. and the named Graphic Designer upon written acceptance. All terms are governed by the laws of Malaysia, with jurisdiction in the courts of Malaysia Kuala Lumpur.
2. The Graphic Designer shall maintain full professional confidentiality regarding all brand assets, trade secrets, and proprietary information disclosed during the engagement. A Non-Disclosure Agreement (NDA) must be executed prior to the commencement of work.
3. All intellectual property rights, including but not limited to copyrights, design rights, and trademarks arising from the deliverables under this Purchase Order, shall be transferred in full to the buyer upon receipt of final payment. The Graphic Designer retains the right to display the work in a professional portfolio only with prior written consent from the buyer.
4. Payment shall be made via bank transfer to the account specified by the Graphic Designer within thirty (30) calendar days of the invoice date. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Outstanding Debts Act 2018 (Malaysia).
5. The Graphic Designer is expected to conduct all on-site meetings and presentations at the buyer's registered office located in Malaysia Kuala Lumpur. Travel and accommodation expenses, if any, are included in the unit rates specified in this Purchase Order.
6. Any changes to the scope of work beyond the specifications listed herein must be approved in writing by both parties through a formal Change Order amendment to this Purchase Order. Unauthorised scope changes will not be compensated.
7. The Graphic Designer shall comply with all applicable Malaysian regulations, including the Personal Data Protection Act 2010 (PDPA), the Trademarks Act 2019, and the Copyright Act 1987, in the execution of all design work.
8. Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the buyer shall pay for all work completed and accepted up to the date of termination.
9. All disputes arising from this Purchase Order shall first be attempted to be resolved through mediation in Malaysia Kuala Lumpur before proceeding to litigation or arbitration under the rules of the Asian International Arbitration Centre (AIAC).
10. This Purchase Order is valid for thirty (30) days from the date of issue. If not accepted within this period, the buyer reserves the right to withdraw or reissue the Purchase Order without prior notice.
