- Scope of Work: This Purchase Order authorizes the engagement of Estudio Visual Creativo, S.A. de C.V., and its designated Graphic Designer personnel, to perform the creative and design services described in the line items above. All deliverables shall conform to the creative briefs approved in writing by NOVA CREATIVE SOLUTIONS, S.A. DE C.V.
- Place of Performance: All services under this Purchase Order shall be performed primarily in Mexico Mexico City, CDMX, México. The Graphic Designer and their team shall have access to the client's offices at Av. Paseo de la Reforma 250 during regular business hours (Monday to Friday, 09:00–18:00) for collaborative sessions, presentations, and approvals. Remote work from any location within Mexico Mexico City is also permitted with prior written consent.
- Payment Schedule: Payment shall be made in accordance with the following milestones: 30% upon execution of this Purchase Order, 40% upon delivery and acceptance of the brand identity package (Item 1), and the remaining 30% upon final acceptance of all deliverables. Invoices shall be issued in Mexican Pesos (MXN) and must include the vendor's RFC and applicable IVA (16% VAT) as required by the Mexican Federal Tax Code (Código Fiscal de la Federación).
- Intellectual Property: Upon full payment, all original artwork, source files, and intellectual property created by the Graphic Designer specifically for NOVA CREATIVE SOLUTIONS, S.A. DE C.V. under this Purchase Order shall be transferred to the client. The Graphic Designer retains the right to display completed work in their professional portfolio, subject to a 90-day embargo period for confidential projects.
- Revisions: Each project item includes up to three (3) rounds of revisions. Additional revision cycles beyond the included amount shall be billed at MXN 2,800.00 per hour, subject to prior written approval by the client's project manager.
- Confidentiality: The Graphic Designer and all personnel of Estudio Visual Creativo, S.A. de C.V. shall maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased materials of NOVA CREATIVE SOLUTIONS, S.A. DE C.V. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Mexican Law: This Purchase Order is governed by and shall be interpreted in accordance with the Commercial Code of Mexico (Código de Comercio) and applicable federal and local regulations of Mexico Mexico City. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico Mexico City in accordance with the rules of the Mexican Arbitration Center (Centro de Arbitraje de México).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the client shall pay for all services rendered and materials procured up to the effective date of termination. The Graphic Designer shall deliver all work-in-progress files within five (5) business days of the termination notice.
- Insurance and Liability: The Graphic Designer shall maintain professional liability insurance with a minimum coverage of MXN 2,000,000.00 throughout the term of this Purchase Order. The vendor shall be solely responsible for any third-party claims arising from the use of unlicensed fonts, stock imagery, or other third-party assets incorporated into the deliverables.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government mandates affecting operations in Mexico Mexico City, or pandemics, provided that the affected party notifies the other within 48 hours of the occurrence.
