The Graphic Designer engaged under this Purchase Order shall deliver all work products in a professional, print-ready, and web-optimized format. The Graphic Designer is expected to conduct a minimum of two (2) in-person creative workshops at the Buyer's office located in Morocco Casablanca during the first two weeks of the project. All intermediate drafts shall be shared via the Buyer's project management platform within 48 hours of each workshop session. The Graphic Designer shall maintain full intellectual property transfer upon final payment, granting the Buyer exclusive rights to all designs created under this Purchase Order.

- This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Graphic Designer services in Morocco Casablanca. Both parties agree to be bound by the terms set forth herein and by applicable Moroccan commercial law.
- The Graphic Designer shall not subcontract any portion of the work without prior written consent from the Buyer. All design work must be performed by the named Graphic Designer or their directly supervised team.
- Payment shall be made in two (2) installments: 50% upon acceptance of Milestone 2 and 50% upon final delivery and acceptance of all deliverables. Payment shall be made via bank transfer to the Seller's account in Morocco Casablanca.
- Any delay in delivery beyond the agreed timeline shall incur a penalty of 1% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- The Graphic Designer shall maintain professional liability insurance with a minimum coverage of 500,000 MAD throughout the duration of this engagement.
- All work products shall comply with Moroccan intellectual property regulations. The Graphic Designer warrants that all designs are original and do not infringe upon any third-party rights.
- This Purchase Order may be amended only by mutual written agreement signed by both parties. Any verbal modifications shall be null and void.
- Disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Morocco Casablanca.
- The Graphic Designer shall provide a warranty period of ninety (90) days from final delivery, during which any defects in the design files shall be corrected at no additional cost.
