This Purchase Order is issued by Himalayan Creative Solutions Pvt. Ltd. to formally engage the services of a qualified Graphic Designer based in Nepal Kathmandu for the development of comprehensive brand identity materials, marketing collateral, and digital design assets. This Purchase Order governs all terms, conditions, deliverables, and payment obligations between the Buyer and the Seller for the professional Graphic Designer services to be rendered in the Nepal Kathmandu metropolitan area.

• Scope of Work: The Graphic Designer engaged under this Purchase Order shall deliver all design assets in accordance with the creative brief provided by the Buyer. All work shall be produced and delivered from the Nepal Kathmandu studio premises unless otherwise agreed in writing.
• Timeline: The initial brand identity package shall be delivered within 21 calendar days from the date of this Purchase Order. Subsequent deliverables shall follow the project schedule attached as Annexure A. The Graphic Designer shall provide weekly progress updates to the Buyer's project manager in Nepal Kathmandu.
• Payment Schedule: 40% advance payment upon acceptance of this Purchase Order, 35% upon delivery of the brand identity package, and the remaining 25% upon final acceptance of all deliverables. All payments shall be made in Nepalese Rupees (NPR) via bank transfer to the account specified by the Graphic Designer in Nepal Kathmandu.
• Revisions: The Graphic Designer shall include up to three (3) rounds of revisions per deliverable at no additional cost. Additional revisions beyond the agreed scope shall be billed at NPR 5,000 per hour as per the Nepal Kathmandu industry standard rate.
• Intellectual Property: Upon full and final payment, all intellectual property rights to the design work created by the Graphic Designer shall be transferred to the Buyer. The Graphic Designer retains the right to display the work in their professional portfolio based in Nepal Kathmandu.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. The Graphic Designer shall not disclose any client-specific design concepts to third parties in Nepal Kathmandu or elsewhere.
• Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the Graphic Designer shall be compensated for all work completed up to the date of termination.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal. Any disputes shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act, 1999 of Nepal.
• Force Majeure: Neither party shall be liable for delays caused by natural disasters, government regulations, or other events beyond reasonable control, which are common considerations for businesses operating in Nepal Kathmandu.

By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Graphic Designer services in Nepal Kathmandu. This document constitutes a binding agreement between the parties for the duration of the project.
