This Purchase Order is issued by Meridian Creative Solutions Ltd (hereinafter referred to as the "Purchaser") to Studio Pixel & Form Design Co. (hereinafter referred to as the "Supplier") for the engagement of a qualified Graphic Designer to deliver a comprehensive brand identity and visual communication package. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements associated with the Graphic Designer's professional services rendered in New Zealand Auckland. The Graphic Designer shall operate in accordance with the specifications outlined herein and shall comply with all applicable New Zealand legislation, including the Fair Trading Act 1986, the Consumer Guarantees Act 1993, and the Copyright Act 1994.

The Supplier shall provide the services of a senior Graphic Designer with a minimum of eight (8) years of professional experience in brand identity, digital design, and print production. The Graphic Designer shall be based in or regularly available in New Zealand Auckland to facilitate in-person consultations, creative workshops, and on-site design reviews at the Purchaser's premises located in Auckland CBD. All design work shall reflect an understanding of the New Zealand Auckland market, local cultural context, and the specific aesthetic requirements of the Purchaser's target audience.

The Graphic Designer shall adhere to the following project timeline, with all milestones subject to approval by the Purchaser's Creative Director in New Zealand Auckland:

• Week 1–2: Discovery phase, mood boards, and initial concept presentations (on-site in Auckland).
• Week 3–5: Primary logo and brand identity development with two concept options.
• Week 6–7: Refinement, stationery design, and digital collateral production.
• Week 8: Final revisions, file delivery, and print production handover to the Auckland print vendor.
• Week 9: Final acceptance review and project closure meeting in New Zealand Auckland.

Payment for this Purchase Order shall be made in accordance with the following schedule: fifty percent (50%) of the total amount, being NZD 13,570.00 (inclusive of GST), shall be due upon execution of this Purchase Order. The remaining fifty percent (50%), being NZD 13,570.00 (inclusive of GST), shall be due within thirty (30) calendar days of final acceptance of all deliverables by the Purchaser. All payments shall be made via bank transfer to the Supplier's nominated New Zealand bank account. Late payments shall attract interest at a rate of two percent (2%) per month, in accordance with the New Zealand Consumer Credit Act 2003.

Upon full and final payment of all amounts due under this Purchase Order, all intellectual property rights, including but not limited to copyright in all designs, logos, illustrations, and creative works produced by the Graphic Designer, shall be assigned to the Purchaser. The Graphic Designer retains the right to display the completed work in their professional portfolio, subject to the Purchaser's prior written consent. All work shall be original and free from any third-party intellectual property claims, in compliance with the Copyright Act 1994 of New Zealand.

The Graphic Designer shall treat all information, trade secrets, and proprietary materials disclosed by the Purchaser during the course of this engagement as strictly confidential. The Supplier shall comply with the New Zealand Privacy Act 2020 in the handling of any personal data encountered during the project. This obligation of confidentiality shall survive the termination or completion of this Purchase Order for a period of three (3) years.

Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of a dispute arising from or in connection with this Purchase Order, the parties shall first attempt to resolve the matter through good-faith negotiation. Should negotiation fail, the dispute shall be referred to mediation under the New Zealand Dispute Resolution Service. If mediation is unsuccessful, the matter shall be subject to the jurisdiction of the District Court of New Zealand, Auckland. The governing law of this Purchase Order shall be the laws of New Zealand.

By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Graphic Designer in New Zealand Auckland. This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier upon execution by both authorised representatives.
