1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Graphic Designer or their authorised representative. The supplier must return a signed copy of this Purchase Order within five (5) business days of receipt to confirm engagement.
2. Delivery and Location: All deliverables under this Purchase Order must be submitted to the Purchasing Party at its offices in Nigeria Abuja (15 Ahmadu Bello Way, Central Business District). The Graphic Designer shall ensure that all final files are delivered in print-ready and digital formats as specified in the project brief.
3. Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Graphic Designer. Payment shall be processed via bank transfer to the account designated by Creative Vision Design Studio Ltd. All payments are denominated in Nigerian Naira (NGN) and subject to applicable withholding tax as prescribed by the Federal Inland Revenue Service in Nigeria Abuja.
4. Intellectual Property: Upon full payment, all original designs, source files, and intellectual property created by the Graphic Designer under this Purchase Order shall become the exclusive property of the Purchasing Party. The Graphic Designer retains the right to display completed work in their professional portfolio, subject to prior written consent from the Purchasing Party.
5. Revisions: The Graphic Designer shall include up to three (3) rounds of revisions per deliverable at no additional cost. Additional revisions beyond the agreed scope shall be billed separately at the rate of NGN 25,000 per revision hour, as agreed in writing.
6. Cancellation: Either party may cancel this Purchase Order with fourteen (14) days written notice. In the event of cancellation by the Purchasing Party, the Graphic Designer shall be compensated for all work completed up to the date of cancellation, as documented in the project log maintained in Nigeria Abuja.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Nigeria Abuja before escalation to the Federal High Court in the Federal Capital Territory.
8. Compliance: The Graphic Designer warrants that all work delivered under this Purchase Order is original, free from infringement of third-party rights, and compliant with the Nigerian Copyright Act and all relevant regulations applicable in Nigeria Abuja.
