This Purchase Order is issued by Lagos Creative Ventures Ltd., a duly registered company operating in Nigeria Lagos, to formally engage the services of a professional Graphic Designer for the creation of comprehensive brand identity materials, marketing collateral, and digital design assets. This Purchase Order constitutes a binding agreement between the Buyer and the Graphic Designer and shall be governed by the laws of the Federal Republic of Nigeria, with specific reference to commercial practices applicable in Nigeria Lagos.

• Advance Payment (50%): NGN 1,185,000 shall be remitted to the Graphic Designer within five (5) business days of acceptance of this Purchase Order. Payment shall be made via bank transfer to the account designated by the Graphic Designer in Nigeria Lagos.
• Final Payment (50%): NGN 1,185,000 shall be due upon satisfactory delivery and acceptance of all design deliverables by the Buyer. The Graphic Designer shall submit a final invoice no later than 30 July 2025.
• All payments are subject to the applicable Nigerian Value Added Tax (VAT) at the prevailing rate of 7.5%, which shall be itemised on the invoice issued by the Graphic Designer.

• This Purchase Order is valid for acceptance within seven (7) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
• The Graphic Designer warrants that all work delivered under this Purchase Order shall be original, free from any intellectual property infringement, and shall not replicate or imitate the work of any third party operating in Nigeria Lagos or internationally.
• Upon full payment, all intellectual property rights, copyrights, and source files (including but not limited to Adobe Illustrator, Photoshop, and InDesign files) shall be transferred to the Buyer. The Graphic Designer retains the right to display the work in a professional portfolio.
• The Graphic Designer shall comply with all applicable data protection regulations under the Nigeria Data Protection Act (NDPA) 2023 when handling any confidential information provided by the Buyer in Nigeria Lagos.
• Any changes to the scope of work outlined in this Purchase Order must be agreed upon in writing by both parties. Additional work beyond the stated scope shall be billed separately at the Graphic Designer's standard hourly rate of NGN 25,000 per hour.
• In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Nigeria Lagos. Should mediation fail, the matter shall be referred to the courts of competent jurisdiction in Nigeria Lagos.
• The Graphic Designer shall maintain professional indemnity insurance with a minimum coverage of NGN 5,000,000 for the duration of this engagement.
• This Purchase Order does not create an employment relationship. The Graphic Designer is engaged as an independent contractor and is solely responsible for all personal income tax obligations in Nigeria Lagos.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Graphic Designer in Nigeria Lagos.
