3. Scope of Work & Line Items

This Purchase Order is issued by Meridian Digital Solutions (Pvt.) Ltd. to engage the services of a qualified Graphic Designer based in Pakistan Islamabad for the design and production of comprehensive brand identity materials, marketing collateral, and digital assets as detailed below. The Graphic Designer shall deliver all work in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW-2025-114).

4. Payment Terms

Payment shall be made in three (3) installments: 40% advance upon acceptance of this Purchase Order, 35% upon delivery of 50% of the deliverables, and 25% upon final acceptance and handover of all source files.
All payments shall be processed via bank transfer to the supplier's account at HBL, Islamabad Branch, Pakistan. Account details are listed in Annexure A of this Purchase Order.
Payment is due within fourteen (14) calendar days from the date of invoice issuance. Late payments shall attract a penalty of 1.5% per month as per the prevailing regulations in Pakistan Islamabad.
The Graphic Designer shall issue a valid tax invoice compliant with the Federal Board of Revenue (FBR), Pakistan, for each payment milestone.

5. Delivery Schedule & Timeline

Project commencement: 22 June 2025 (within 5 working days of Purchase Order acceptance).
Brand identity package delivery: 06 July 2025.
Brochure and stationery suite delivery: 20 July 2025.
Social media templates and trade show graphics delivery: 03 August 2025.
Website UI/UX mockups final delivery: 17 August 2025.
All deliverables shall be submitted to the buyer's office at Blue Area, Islamabad, Pakistan, or via secure digital transfer as mutually agreed.

6. Terms and Conditions

This Purchase Order is governed by and shall be construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Islamabad, Pakistan.
The Graphic Designer warrants that all work delivered under this Purchase Order shall be original, free from any intellectual property infringement, and shall not contain any third-party copyrighted material without proper licensing.
Upon full payment, all intellectual property rights, source files (Adobe Illustrator, Photoshop, Figma, InDesign), and final deliverables shall be transferred irrevocably to Meridian Digital Solutions (Pvt.) Ltd.
The Graphic Designer shall maintain strict confidentiality regarding all client data, brand assets, and proprietary information shared during the course of this engagement in Pakistan Islamabad.
Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all work completed and accepted up to the date of termination.
The Graphic Designer shall be responsible for obtaining all necessary permits, licenses, and registrations required to operate a design business in Pakistan Islamabad, including but not limited to a valid NTN and sales tax registration.
Force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or infrastructure failures in Pakistan Islamabad, shall excuse delayed performance for the duration of such event.
This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the Graphic Designer services described herein.
