- This Purchase Order (PO-2025-0742) constitutes a formal and binding request for Graphic Designer professional services to be rendered by Creative Pixel Studio, LLC to Meridian Creative Solutions, Inc., with all work to be delivered and accepted at the buyer's office located in Philippines Manila.
- The vendor shall assign a qualified and experienced Graphic Designer (minimum five years of professional experience in brand identity and marketing collateral) to oversee all deliverables under this Purchase Order. The assigned Graphic Designer must be a resident of or regularly working within the Philippines Manila metropolitan area to ensure timely in-person collaboration and revisions.
- All deliverables specified in this Purchase Order shall be subject to a minimum of three (3) rounds of revisions per line item. Additional revisions beyond the agreed scope shall be billed separately at the rate of PHP 3,500.00 per hour for the Graphic Designer's time.
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid Official Receipt (OR) and Certificate of Withholding Tax (CWIT) issued by the vendor. Payment shall be processed via bank transfer to the vendor's designated account in the Philippines Manila banking system.
- The vendor shall comply with all applicable Philippine laws, including but not limited to the Revised Tax Code of the Philippines, the Data Privacy Act of 2012 (Republic Act No. 10173), and all local ordinances of the City of Manila and the National Capital Region (NCR) as they pertain to the provision of professional design services in Philippines Manila.
- All intellectual property rights, including but not limited to copyrights, trademarks, and design patents, for all work products created under this Purchase Order shall be transferred in full to Meridian Creative Solutions, Inc. upon final payment. The Graphic Designer and the vendor shall execute a separate Intellectual Property Assignment Agreement as a condition of this Purchase Order.
- The vendor warrants that all Graphic Designer deliverables shall be original works free from any third-party claims of infringement. The vendor shall indemnify and hold harmless the buyer against any and all claims arising from the use of non-original or infringing design elements in the Philippines Manila jurisdiction or internationally.
- Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or email communications shall not constitute a valid amendment to this Purchase Order.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith mediation. Should mediation fail, the dispute shall be referred to the courts of competent jurisdiction in Philippines Manila, and the laws of the Republic of the Philippines shall govern this agreement.
- This Purchase Order is valid for acceptance until July 15, 2025. Failure to accept by the stated date shall render this Purchase Order null and void, and the buyer reserves the right to issue a new Purchase Order to an alternative Graphic Designer or design firm in Philippines Manila.
