This Purchase Order is issued by Aurora Digital Media Group LLC to formally engage the services of a qualified Graphic Designer for a comprehensive branding and visual identity project. The Graphic Designer shall deliver all creative assets, design files, and visual materials in accordance with the specifications outlined in this document. All work shall be performed primarily at the client's office located in Russia Saint Petersburg, with remote collaboration permitted for preliminary concept development phases.

The scope of work for the Graphic Designer includes, but is not limited to: the development of a complete corporate logo suite; design of marketing collateral including brochures, business cards, and presentation templates; creation of social media graphics and digital advertising banners; design of packaging mockups for the client's product line; and the preparation of a comprehensive brand style guide. The Graphic Designer shall ensure that all deliverables reflect the cultural and aesthetic sensibilities appropriate for the Russia Saint Petersburg market while maintaining international design standards.

Payment for the services rendered under this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the account of the Graphic Designer as registered under Individual Entrepreneur status in Russia Saint Petersburg. The payment schedule is as follows: a 30% advance payment (205,500 RUB) shall be due within five (5) business days of the acceptance of this Purchase Order; a 40% interim payment (274,000 RUB) shall be due upon delivery and approval of the Brand Style Guide; and the remaining 30% balance (205,500 RUB) shall be due within ten (10) business days of final acceptance of all deliverables. All payments are subject to the applicable Value Added Tax (VAT) at the rate of 20% as governed by the Tax Code of the Russian Federation.

5.1. This Purchase Order constitutes a binding agreement between the parties upon signature by both the authorized representative of the Purchasing Entity and the Graphic Designer. All terms herein shall be governed by and interpreted in accordance with the Civil Code of the Russian Federation.

5.2. The Graphic Designer warrants that all work delivered under this Purchase Order shall be original, free from any intellectual property infringement, and created exclusively for the Purchasing Entity. The Graphic Designer shall not reuse, resell, or license any portion of the deliverables to third parties without written consent.

5.3. All work shall be performed in compliance with local regulations applicable to creative professionals operating in Russia Saint Petersburg, including but not limited to data protection requirements under Federal Law No. 152-FZ and applicable advertising standards.

5.4. The Graphic Designer shall maintain professional liability insurance with a minimum coverage of 1,000,000 RUB for the duration of this engagement. Proof of insurance shall be provided prior to the commencement of work.

5.5. In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be submitted to the Arbitration Court of the City of Russia Saint Petersburg for adjudication.

5.6. Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Graphic Designer shall be compensated for all work completed and approved up to the date of termination, and all source files shall be transferred to the Purchasing Entity.
