This Purchase Order is issued by Al-Nakheel Creative Solutions LLC to engage the services of Visionary Pixel Design Studio, a specialized Graphic Designer firm operating in Saudi Arabia Jeddah, for the provision of comprehensive visual branding, marketing collateral, and digital design services as detailed in the line items below. - Acceptance: This Purchase Order becomes binding upon written acceptance by the Graphic Designer (Visionary Pixel Design Studio) within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Delivery and Location: All deliverables shall be submitted electronically via the buyer's project management portal. Physical print proofs, where applicable, shall be delivered to the buyer's office at King Fahd Road, Al Shati District, Jeddah, Saudi Arabia. The Graphic Designer is responsible for ensuring all files meet the print specifications required for production in Saudi Arabia Jeddah.
- Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. A 30% advance payment is due upon Purchase Order acceptance. The remaining 70% shall be invoiced in monthly installments aligned with the project milestones outlined in the Statement of Work. All payments shall be made via bank transfer to the account designated by the Graphic Designer.
- Intellectual Property: Upon full and final payment, all rights, title, and interest in the Graphic Designer's deliverables, including but not limited to logos, illustrations, layouts, and source files, shall be transferred irrevocably to Al-Nakheel Creative Solutions LLC. The Graphic Designer retains the right to display completed work in their professional portfolio with prior written consent from the buyer.
- Revisions: The Purchase Order includes two (2) rounds of revisions per deliverable at no additional cost. Additional revision cycles beyond the included rounds shall be billed at the Graphic Designer's standard hourly rate of SAR 450 per hour, subject to prior written approval by the buyer.
- Compliance and Regulations: The Graphic Designer warrants that all work shall comply with the Saudi Communications and Media Commission (CMA) regulations, the Saudi Standards, Metrology and Quality Organization (SASO) guidelines, and all applicable laws of the Kingdom of Saudi Arabia. All Arabic text shall be reviewed by a certified Arabic language proofreader before final delivery.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the buyer shall pay for all services rendered and approved deliverables up to the date of termination. The Graphic Designer shall deliver all work-in-progress files to the buyer within seven (7) days of the termination notice.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to arbitration in Jeddah, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA). The governing law shall be the laws of the Kingdom of Saudi Arabia.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Saudi Arabia Jeddah.
