This Purchase Order authorizes the engagement of the above-named Graphic Designer to deliver all visual design assets required for the Teranga Digital Solutions brand transformation. The Graphic Designer shall operate primarily from the buyer's office located in Senegal Dakar, Plateau District, with the option to work remotely as mutually agreed. All deliverables must adhere to the creative brief provided on the start date and comply with Senegalese advertising regulations and the standards set by the Senegal Dakar advertising authority. The Graphic Designer is expected to attend weekly progress meetings in Senegal Dakar and present design concepts for approval before final production.
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Graphic Designer within five (5) business days of the issue date. Failure to respond within this period shall render this Purchase Order null and void.
- Payment Schedule: 30% advance payment upon signing, 40% upon delivery of the brand identity package, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the Graphic Designer's account registered in Senegal Dakar.
- Intellectual Property: Upon full payment, all rights to the final Graphic Designer work products shall transfer to Teranga Digital Solutions. The Graphic Designer retains the right to display the work in a professional portfolio.
- Revisions: The Purchase Order includes up to three (3) rounds of revisions per deliverable. Additional revisions beyond this scope shall be billed at the hourly rate specified in Line Item 7.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased marketing materials encountered during the engagement in Senegal Dakar.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Graphic Designer shall be compensated for all work completed and approved up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any disputes shall be resolved through the competent courts of Senegal Dakar.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Senegal Dakar.
- Compliance: The Graphic Designer warrants that all work shall be original, free from infringement of third-party intellectual property rights, and compliant with all applicable Senegalese labor and commercial regulations.
- Warranty: The Graphic Designer warrants that all deliverables shall be free from defects in design execution for a period of ninety (90) days following final acceptance.
