Payment for this Purchase Order shall be made via bank transfer to the account designated by the Graphic Designer vendor. The payment schedule is as follows: 40% upon acceptance of this Purchase Order, 30% upon delivery of Items 01 and 02, 20% upon delivery of Items 03 and 04, and the remaining 10% upon successful completion of the monthly retainer period. All payments are denominated in Korean Won (KRW) and are subject to the standard 10% Value Added Tax (VAT) applicable in South Korea. Late payments shall incur a penalty of 1.5% per month as stipulated under Korean commercial law.
- Acceptance: This Purchase Order becomes effective upon written confirmation by both parties. The Graphic Designer shall acknowledge receipt within three (3) business days of issuance.
- Intellectual Property: Upon full payment, all original design work, source files, and associated intellectual property created by the Graphic Designer shall transfer exclusively to Hanbit Digital Media Co., Ltd. The Graphic Designer retains the right to display completed work in a professional portfolio.
- Revisions: Each line item includes up to three (3) rounds of revisions. Additional revisions requested by the buyer beyond the included rounds shall be billed at the hourly rate of KRW 150,000 per hour, as agreed upon by the Graphic Designer.
- Compliance: All deliverables must comply with the Korean Copyright Act, the Personal Information Protection Act of South Korea, and any relevant advertising regulations enforced in Seoul. The Graphic Designer warrants that all work is original and free from third-party infringement claims.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased product details shared during the course of this Purchase Order engagement in Seoul, South Korea.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall compensate the Graphic Designer for all work completed and approved up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes shall be resolved through the Seoul Central District Court or by arbitration under the rules of the Korean Commercial Arbitration Board.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Seoul, South Korea.
All deliverables under this Purchase Order shall be subject to a five (5) business day review period by the buyer. The Graphic Designer shall be notified of any required corrections within this window. Failure to respond within the review period shall constitute deemed acceptance. Final acceptance of all project deliverables is contingent upon the Graphic Designer meeting the quality standards and specifications outlined in the attached creative brief, which forms an integral part of this Purchase Order.
