- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Graphic Designer. The supplier must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Delivery Schedule: All deliverables shall be completed in phases as outlined in the attached project timeline. The Graphic Designer shall provide weekly progress updates to the buyer's project manager based in Spain Madrid. Final delivery of all assets is due no later than 30 September 2025.
- Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon delivery of the brand identity and marketing collateral (Items 01–02), and 30% upon final acceptance of all remaining deliverables. All payments shall be made via bank transfer to the account specified by the Graphic Designer.
- Revisions: Each deliverable includes up to three (3) rounds of revisions at no additional cost. Additional revisions beyond the included rounds shall be billed at a rate of 85.00 EUR per hour, subject to prior written approval by the buyer.
- Intellectual Property: Upon full and final payment, all intellectual property rights, including but not limited to copyrights, to the final deliverables shall transfer exclusively to Iberia Creative Solutions S.L. The Graphic Designer retains the right to display completed work in their professional portfolio, subject to a 90-day embargo period from final delivery.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased materials accessed during the course of this engagement in Spain Madrid. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Compliance with Spanish Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain. The Graphic Designer confirms compliance with all applicable Spanish labor, tax, and social security regulations for freelance professionals operating in Madrid.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the buyer shall pay for all work completed and accepted up to the date of termination. The Graphic Designer shall deliver all work-in-progress files and source documents within five (5) business days of the termination notice.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Madrid metropolitan area.
- Warranty: The Graphic Designer warrants that all deliverables shall be original work, free from any third-party intellectual property claims, and shall conform to the specifications set forth in this Purchase Order. Any defects or non-conformities shall be remedied at the Graphic Designer's own expense within ten (10) business days of written notice.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Graphic Designer in Spain Madrid. This document represents the complete and final agreement between the parties regarding the services described herein.
