1. Governing Law and Jurisdiction: This Purchase Order and all associated services shall be governed by and interpreted in accordance with the Commercial Code of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Courts of Valencia, Spain. The Graphic Designer acknowledges that all work shall be performed in compliance with Spanish intellectual property law (Ley de Propiedad Intelectual, Real Decreto Legislativo 1/1996) and the applicable regulations of the Comunitat Valenciana.
2. Payment Terms: Payment shall be made in three (3) installments: 40% upon acceptance of this Purchase Order, 35% upon delivery of the brand identity and brochure (Items 01–02), and 25% upon final acceptance of all remaining deliverables. All payments shall be processed via bank transfer to the account designated by the Graphic Designer. Invoices must reference this Purchase Order number (PO-2025-VAL-00472) and include the vendor's NIF for Spanish tax compliance.
3. Delivery and Acceptance: All deliverables shall be submitted in the file formats specified in the table above. The Buyer shall have ten (10) business days from the date of submission to review and either accept or request revisions. Failure to respond within this period shall constitute deemed acceptance. The Graphic Designer shall ensure all files are free of technical errors and suitable for professional print and digital reproduction.
4. Intellectual Property: Upon full payment of all amounts due under this Purchase Order, all intellectual property rights in the final deliverables shall transfer exclusively to Mediterráneo Digital Solutions S.L. The Graphic Designer retains the right to display the completed work in a professional portfolio, subject to a thirty (30) day embargo period from the date of public release by the Buyer.
5. Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies of the Buyer encountered during the execution of this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
6. Cancellation and Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of cancellation by the Buyer, the Graphic Designer shall be compensated for all work completed and materials procured up to the date of termination. Cancellation by the Buyer without cause shall incur a 10% penalty on the remaining contract value.
7. Working Location: The primary working location for this engagement is Spain, Valencia. The Graphic Designer shall be available for on-site meetings at the Buyer's office located in Valencia, Spain, a minimum of two (2) days per week. Remote work from any location within Spain is permitted for the remaining working days, provided that communication and deliverable timelines are maintained.
8. Insurance and Liability: The Graphic Designer shall maintain professional liability insurance with a minimum coverage of €100,000 for the duration of this Purchase Order. The Graphic Designer shall be solely responsible for any third-party claims arising from the use of unlicensed fonts, stock imagery, or other third-party assets incorporated into the deliverables.
Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding commercial agreement for the procurement of Graphic Designer services in Spain, Valencia, and shall remain in full force and effect until all obligations have been satisfactorily completed.
